  • What is the Venture Club?
    Formerly known as “StartEngine Owner’s Bonus”, the Venture Club allows investors to:

    1. Earn a 10% bonus in shares on their investment when investing in participating Reg CF and A+ offerings on StartEngine.
    2. Be the first to hear about new bonus-eligible Reg CF and A+ launches via email notifications.
    3. Unlock 48-hour early access to new launches from StartEngine Private.
    4. Receive priority on the waitlist when investing in oversubscribed companies.
    5. Place Rapid and Extended sell offers on StartEngine Marketplace – see https://marketplace.startengine.com/ for details.

    Users should be aware that investors who are Venture Club members receive exclusive access to StartEngine Private investment opportunities 48 hours in advance of when such opportunities will be made available to non-Venture Club members.  Venture Club members pay an annual membership fee to StartEngine in return for this access and as a result, StartEngine has a conflict of interest in that it has an incentive to favor Venture Club members with investment opportunities.  Venture Club members also are provided with access to StartEngine to dedicated investor support in return for payment of the annual membership fee.  Absent a separate arrangement, non-Venture Club members do not generally have access to the same dedicated investor support.
  • How does Venture Club work?
    For a membership cost of $275/year, you will earn a 10% bonus in shares for any shares your purchase in participating campaigns. For example, if you buy 100 shares at $1 per share in a company, you will receive 10 bonus shares with the Venture Club membership, meaning you’ll hold 110 shares for $100.

    Your Venture Club membership ensures you will be the first to be notified about newly launched companies. You will receive an email when a company launches that is eligible for bonus shares with your membership.

    Investors with a Venture Club membership are also notified by a daily email that features any eligible company that launched in the previous 24 hours.

    As a Venture Club member, when selling shares on our trading platform, StartEngine Secondary, you will receive a 20% discount on commission.

    Investors with the Venture Club membership will have priority access to invest in new launches from StartEngine Collectibles for the first 7 days of launch. StartEngine Collectibles is a Regulation A offering that brings alternative investments to our community, including wine, memorabilia, and more. In addition, investors with Venture Club membership also have priority if they are on a waitlist to invest in a company that has surpassed its maximum funding goal. Venture Club members will have first priority to invest if prior investments are canceled or fail, freeing up room to invest in the offering.
  • Who participates in Venture Club?
    Companies have the option to opt in and participate in the Venture Club program. Please note that not every offering will be eligible for the program.

    To identify whether a specific company is participating in Venture Club, look for Venture Club listed in the rewards perks section of the campaign as well.
  • How long does the membership last?
    The Venture Club membership is active for one year from the point of purchase. The membership will auto-renew every year. If you choose to cancel the auto-renewal of your Venture Club membership, it will expire at the end of that year’s eligibility period.

  • How do I get a Venture Club membership?
    If you don’t already have it, you can buy a Venture Club membership during checkout when making an investment. You can also purchase it as a standalone product from this page. Venture Club membership costs $275, billed annually, and is set to automatically renew at the end of your membership term.
  • How do I renew my Venture Club membership?
    Venture Club has an annual $275 payment charged at the beginning of your year’s eligibility period. Your membership will auto renew the following year. We will send you an email notification in advance of that upcoming renewal. You may cancel your membership at any time prior to your auto-renewal if you no longer wish to renew.

    If you choose to cancel at any point, your current membership will expire at the end of that year’s eligibility period.

    Note: if you earned your Venture Club membership through one of StartEngine’s Regulation A+ offerings, then at the end of your eligibility period, you can renew your bonus by purchasing the membership through this updated system.
  • Does Venture Club come with StartEngine shares?
    The Owner’s Bonus previously was a perk associated with StartEngine’s equity crowdfunding offerings. Now that you can purchase Venture Club as a standalone product, the membership is not associated with StartEngine shares and does not come with any shares in StartEngine.
  • How do I cancel Venture Club?
    You can request a cancellation at any time by reaching out to contact@startengine.com.

    Cancellation requests will be reviewed on a case-by-case basis. Not all cancellations are entitled to a refund. Cancellation requests will be assessed based on the investor’s bonus shares accumulated, and active membership duration up to the point of cancellation.

    Any refunds for the Venture Club membership will be made to your original form of payment during purchase.

    Venture Club is set to auto-renew every year and will charge the payment method on file. If you would like to opt-out of that auto-renewal, you can do so here. Please note that by opting out, your Venture Club subscription will remain active and expire at the end of your year’s eligibility period.If you have any questions or problems canceling your auto-renewal, you can email contact@startengine.com.
  • What happened to the StartEngine Owner’s Bonus?
    On May 15, 2024, we rebranded the Owner’s Bonus program to Venture Club and added new perks giving subscribers 48 hours early access to StartEngine Private launches and dedicated investor support for accredited investors.

    Venture Club offers a suite of premium benefits including exclusive, 48-hour early access to new offerings from StartEngine Private, priority on investment waitlists, and enhanced support for accredited investors. Members pay an annual fee to StartEngine, which constitutes a conflict of interest that incentivizes StartEngine to favor these members with investment opportunities and provide access to registered representatives. All criteria governing eligibility and the specifics of these preferential treatments are fully disclosed to ensure that all our investors are adequately informed of the terms and conditions that guide their investments.

StartEngine Marketplace

StartEngine Marketplace (“SE Marketplace”) is a website operated by StartEngine Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC.

StartEngine Secondary (“SE Secondary”) is our investor trading platform. SE Secondary is an SEC-registered Alternative Trading System ("ATS") operated by SE Primary that matches orders for buyers and sellers of securities. It allows investors to trade shares purchased through Regulation A+, Regulation Crowdfunding, or Regulation D for companies who have engaged StartEngine Secure LLC as their transfer agent. The term “Rapid,” when used in relation to transactions on SE Marketplace, specifically refers to transactions that are facilitated on SE Secondary, This is because, unlike with trades on the StartEngine Bulletin Board (“SE BB”), trades on SE Secondary are executed the moment that they are matched.

StartEngine Bulletin Board ("SE BB") is a bulletin board platform on which users can indicate to each other their interest to buy or sell shares of private companies that previously executed Reg CF or Reg A offerings not necessarily through SE Primary. As a bulletin board platform, SE BB provides a venue for investors to access information about such private company offerings and connect with potential sellers. All investment opportunities on SE BB are based on indicated interest from sellers and will need to be confirmed. Even if parties express mutual interest to enter into a trade on SE BB, a trade will not immediately result because execution is subject to additional contingencies, including among others, effecting of the transfer of the shares from the potential seller to the potential buyer by the issuer and/or transfer agent. SE BB is distinct and separate from SE Secondary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. By contrast, under SE BB, SE Primary assists with the facilitation of a potential resulting trade off platform including, by among other things, approaching the issuer and other necessary parties in relation to the potential transaction. The term “Extended”, when used in relation to transactions on SE Marketplace denotes that these transactions are conducted via SE BB, and that these transactions may involve longer processing times compared to SE Secondary for the above-stated reasons.

Even if a security is qualified to be displayed on SE Marketplace, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
