DISCLAIMER: This case study describes Gameflip's prior Reg CF offering, which closed on April 29, 2024. Past results do not guarantee future performance; investments are speculative and involve risk.

If you’ve read the futuristic Ready Player One, Gameflip will sound very familiar. The company’s platform is a marketplace for gamers, powered by advanced technology, that gives users the ability to 'flip' video game items. Think digital assets that can be bought, sold, and traded within a growing community of like-minded gamers. And the community is boomin’.

In fact, Gameflip has rapidly increased its user base of over 6.75M+ and over $160M+ in lifetime sales. Those are some staggering numbers in their own right but what may be more impressive would be the man behind this quickly growing startup.

Last month, we sat down with Gameflip’s CEO JT Nguyen to learn more about himself and the company he plans to take mainstream and capture the $272B global games market.

Q&A with JT Nguyen, CEO of Gameflip

Q: Tell me a little bit about yourself, JT. What's your background?

JT Nguyen: My name is JT Nguyen, and I'm currently the CEO of Gameflip. I have over 20 years of experience in building, scaling, and managing global businesses. I entered the gaming industry in 2006, when I joined Aeria Games Entertainment as their COO. I helped the company portfolio grow to 100+ games, over 300 global employees, and $120M+ in yearly revenue. All this led to a successful exit in 2013, and then I started building Gameflip.

Q: Could you briefly describe what your company does?

JT Nguyen: Gameflip is a trusted C2C marketplace that allows gamers to safely and securely exchange digital goods. Since 2015, we have been a pioneering solution in a rapidly expanding market, projected to reach $272 billion by the end of 2024.

Q: Can you explain the gamer marketplace and why there's an opportunity there for Gameflip?

JT Nguyen: Year after year, gamers invest a great deal of time and resources in playing their favorite games and purchasing digital items to enhance their experiences. However, due to company policies and technical limitations, approximately 3 billion players worldwide lose their investments when they transition to a new game or platform. This represents a significant financial loss for these consumers. We developed Gameflip as a solution to empower gamers with the ability to transition and grow their investments by monetizing their digital assets.

Q: How did you decide to pursue crowdfunding over institutional capital?

JT Nguyen: We have previously secured investment through institutional capital; however, we wanted to explore potential alternatives that would allow individuals, especially from our own community, to become stakeholders in our company and actively contribute to positive change within the gaming industry. Crowdfunding was the ideal option to make this happen.

Q: What factors drew you to crowdfunding as a better route for your company?

JT Nguyen: Crowdfunding is easier, faster, and less bureaucratic compared to securing institutional investment. Instead of a limited number of institutions and investors, crowdfunding allows us to diversify our investments, engage with amazing individuals, and create a solid community of supporters. We have over 6 million users on Gameflip who now can own a piece of our marketplace. Equity crowdfunding protects both our investors and our company, and has lower fees and costs than securing institutional capital. It also enables us to create proximity with our investor community, receiving direct feedback from them, which helps us improve our platform and relations with our users.

Q: Did you consider other crowdfunding platforms, and how did you decide on StartEngine?

JT Nguyen: While we did explore alternative platforms, there was a clear preference for StartEngine from the start. We selected StartEngine based on the quality and success of the funded projects, and the reliability and professionalism of their founder and team.

Q: How many rounds of crowdfunding have you completed, and how has your company's progress evolved through these rounds?

JT Nguyen: We have just completed a second round of crowdfunding and we couldn't be more excited. We went above and beyond our expectations in each and every round, raising over $2M with the help of more than 1,500 amazing individuals. The crowdfunding capital has enabled us to strengthen our Gameflip brand and accelerate our growth in 2024.

Q: What benefits, aside from capital, have you noticed from having a large number of crowdfunding investors? How do you manage your cap table with this many investors?

JT Nguyen: The main benefits are customer loyalty and the democratization of investing. Crowdfunding respects individuals. It allows them to participate in campaigns without the need to invest large sums of money, diversifying their portfolio as they see fit. This way we can create a solid and loyal community of supporters. People who share the same beliefs and passion for Gameflip. We manage our cap table with an incredible team of professionals from StartEngine.

Q: How does pitching to crowdfunding investors differ from pitching to venture capital firms?

JT Nguyen: Crowdfunding investors offer a more accessible, less formal approach, which is exactly what we're looking for. We seek that closeness with our investor community, which isn't possible with venture capital firms. Pitching to crowdfunding investors allows us to be more true to Gameflip and what we believe.

Q: What marketing strategies have been most effective for your crowdfunding campaigns?

JT Nguyen: Focusing on our existing customer base, fan base, and investor base.

Q: Have you utilized any specific tools or tactics to attract investors outside of the crowdfunding platform?

JT Nguyen: We have taken the initiative to engage with our own community, not only to inform them that we were running a crowdfunding campaign, but also to provide more insight into our company vision, present and future plans. We have also benefited from enhancing our SEO, creating online campaigns and email marketing.

Q: How do you ensure effective communication with your investors throughout the crowdfunding process?

JT Nguyen: Consistency. We are a fast-paced company, so there's always something to be talking about. We keep our investors and followers on top of our developments.

Q: What advice would you give to someone considering their first equity crowdfunding campaign?

JT Nguyen: Research is key. Familiarize yourself with the company's history, the individuals involved, and the professionals who work there. A company in a growing market may initially appear to be a promising prospect, but it's important to ensure that the company and its team are aligned and also aligned with your investment goals.

Q: Tell us in so many words: Why Gameflip?

JT Nguyen: Gameflip has been making a difference in the way digital game assets are traded, valued, and used. We created Gameflip to make gaming accessible to everyone and empower players worldwide. By investing in us, you help shape the future of the gaming industry.

StartEngine Marketplace (“SE Marketplace”) is a website operated by StartEngine Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC.

StartEngine Secondary (“SE Secondary”) is our investor trading platform. SE Secondary is an SEC-registered Alternative Trading System (“ATS”) operated by SE Primary that matches orders for buyers and sellers of securities. It allows investors to trade shares purchased through Regulation A+, Regulation Crowdfunding, or Regulation D for companies who have engaged StartEngine Secure LLC as their transfer agent. The term “Rapid,” when used in relation to transactions on SE Marketplace, specifically refers to transactions that are facilitated on SE Secondary, This is because, unlike with trades on the StartEngine Bulletin Board (“SE BB”), trades on SE Secondary are executed the moment that they are matched.

StartEngine Bulletin Board (“SE BB”) is a bulletin board platform on which users can indicate to each other their interest to buy or sell shares of private companies that previously executed Reg CF or Reg A offerings not necessarily through SE Primary. As a bulletin board platform, SE BB provides a venue for investors to access information about such private company offerings and connect with potential sellers. All investment opportunities on SE BB are based on indicated interest from sellers and will need to be confirmed. Even if parties express mutual interest to enter into a trade on SE BB, a trade will not immediately result because execution is subject to additional contingencies, including among others, effecting of the transfer of the shares from the potential seller to the potential buyer by the issuer and/or transfer agent. SE BB is distinct and separate from SE Secondary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. By contrast, under SE BB, SE Primary assists with the facilitation of a potential resulting trade off platform including, by among other things, approaching the issuer and other necessary parties in relation to the potential transaction. The term “Extended”, when used in relation to transactions on SE Marketplace denotes that these transactions are conducted via SE BB, and that these transactions may involve longer processing times compared to SE Secondary for the above-stated reasons.

Even if a security is qualified to be displayed on SE Marketplace, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
