Vegas Grand Prix Contest Official Rules

NO PURCHASE NECESSARY TO ENTER. NOT A GAME OF CHANCE. These Official Rules govern the Vegas Grand Prix contest (the “Contest”) offered by the Sponsor. 

Sponsor: StartEngine Crowdfunding, Inc., 4100 W. Alameda Ave., 3rd Floor, Burbank, CA  91505.

Eligibility: Contest is open to legal residents of the fifty (50) United States and the District of Columbia, Puerto Rico and the territory of Guam who are 18 years of age or older as of the date of entry and are members of the Sponsor’s Scouts Program, except employees of Sponsor and its affiliates, subsidiaries, advertising and promotion agencies and the immediate family members and/or those living in the same household of each such employee. Contest is void where prohibited by law.  

Agreement to Rules: By participating, you agree to be fully bound by these Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree that all decisions of the Sponsor with respect to the Contest are final and binding.  You also agree that you are subject to all of the Terms and Conditions of the STARTENGINE SCOUT AGREEMENT.

How to Enter and Win: To enter, you must refer a minimum of three accepted “founders”, as defined in Terms and Conditions of the STARTENGINE SCOUT AGREEMENT, through our portal and those founders must sign a posting agreement with Sponsor by 11:59 PT on October 15, 2023.  The two (2) Scouts with the most signed referrals by the deadline will be named Grand Prize winners. In the event of a tie, the award will go to the first Scout to achieve the highest number of eligible referrals. An agreement is considered “signed” when the agreement is received by sponsor with the signature of a person authorized to bind the “founder”.

Prize: Two (2) Grand Prize winners will each receive a package that consists of one box seats to the inaugural Vegas Grand Prix auto race with gourmet catering, a tour of the racetrack , and accommodations in a Las Vegas hotel of the Sponsor’s choosing.  (Approximate retail value of each prize: $14,000)  Prizes are non-transferable and cannot be exchanged for cash. If the event is canceled or postponed or you are unable to travel on the event dates, Sponsor is not responsible for providing an alternative prize. Taxes related to the prize are the sole responsibility of the winner. Participants are responsible for all costs and expenses not specifically included in the prize description.  NO TRANSPORTATION COSTS OR OTHER INCIDENTAL EXPENSES ARE INCLUDED.  By participating, contestants agree to be bound by these official rules and the decisions of Sponsor, which are final and binding in all respects.  All fees, federal, state, and other taxes, costs, and expenses relating to the use, acceptance and possession of the prize are the sole responsibility of the winner. 

Winner Notification: The two (2) Grand Prize winners All decisions of Sponsor are final. Potential winner will be notified by e-mail, telephone, or U.S. mail on or before October 23rd, 2023. Winner must respond to accept the prize and sign and, if requested, return an affidavit of eligibility and a liability/publicity release within 10 days of notification. Sponsor shall have no liability for a winner’s failure to receive notices due to winners’ spam, junk e-mail or other security settings or for winners’ provision of incorrect or otherwise non-functioning contact information, or for any other reason. If the selected winner cannot be contacted, is ineligible, fails to claim the prize 10 days from the time award notification was sent, or fails to timely return a completed and executed declaration and releases as required, prize may be forfeited, and an alternate winner selected.  The winner’s name will be available from Sponsor at the address above upon request after October 23rd, 2023.

The receipt by winner of the prize offered in this Contest is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AT THE SOLE DISCRETION OF THE SPONSOR.

Contest Period: Contest begins at 10:00am PT on July 11, 2023, and ends at 11:59 PT on October 15, 2023 (the “Contest Period”). Sponsor shall determine timeliness of entries in its sole discretion. 

Release: As a condition of entering, entrants agree (and agree to confirm in writing): (a) to release Sponsors, their affiliates, subsidiaries, retailers, sales representatives, distributors and the advertising and promotional agencies, and each of their officers, directors, employees and agents from any and all liability, loss or damage incurred with respect to the awarding, receipt, possession, taxes, and/or use or misuse of any prize, including without limitation, loss, damage, system damage, loss of property or data, accidents, injuries, or death, (b) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this sweepstake, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. 

Any third-party trademarks, service marks and trade names referenced herein are the property of their respective owners, are used for descriptive purposes only, and do not imply any sponsorship or endorsement, or association with any prize provider or social media outlet.  Winners accept all liability terms, conditions, and restrictions of said prize provider or social media outlet.

Publicity: Acceptance of a prize constitutes consent to Sponsor’s use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, (including but not limited to internet and television broadcast) without further consent or compensation except where prohibited.

General Conditions: Sponsor and each of its affiliates, subsidiaries, parent corporations, and their respective officers, directors, shareholders, employees and agents, are not responsible for any incorrect or inaccurate entry information, theft, tampering, destruction, or unauthorized access to, or alteration of entries; any error, omission, interruption, defect or delay in operation or transmission of any Contest-related website; failure of any entry to be received by Sponsor due to technical problems or human error; printing or other errors. Sponsor reserves the right to modify, suspend or terminate the Contest in the event that it becomes necessary due to circumstances beyond Sponsor’s control. In the event the Contest is terminated early, a potential Winner will be selected from all eligible entries received at the time of termination. 

Disputes: THIS CONTEST IS GOVERNED BY THE LAWS OF CALIFORNIA WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Contest, participant agrees that any and all disputes which cannot be resolved between the parties and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Burbank, California having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with entering this Contest), and participant further waives all rights to have damages multiplied or increased.
