Emmanuel Umoh is the founder and CEO of Vizrom. Emmanuel holds two master’s degrees in Criminal Justice and Cyber Security from the University of Alabama at Birmingham. He was born and raised in Nigeria before immigrating to the United States as a student. Emmanuel is a serial entrepreneur and has worked on other startup projects before starting Vizrom. He has several years of experience in management and product development.

Prior to joining Vizrom, Daniel worked as an Electro Mechanical Engineer with Ebsco Sign Group. He was responsible for designing custom digital LED signage, creation of 3D models, and converting 3D models to shop drawing. His is highly knowledgeable in industrial design of digital signage.

Prior to joining the team, Robert worked as a mobile application developer at Marine Engineered Product. He had been at that company since 2017.

Karl works in collaboration with the management team on various business development areas, including: product development, contract negotiations, marketing, investment opportunities, and the overall company strategic operation. We are still working despite COVID-19

Hello our dear investors,

 

Please allow me to extend my sincere apology to all of you for not keeping you up to date regarding our development progress. I hope that you and your family are staying safe in this unprecedented time. Despite the difficulties and unexpected delays that were brought upon us because of the COVID-19 pandemic, I am happy to inform you that we are still working hard to get the development process going. To be honest, the journey, these past few months, has not been easy. From unexpected delays in getting our components completed by our suppliers, to lack of funds to push the project forward. In the face of all of these, one thing remained constant, stay focus, and not give up. 

When we started this journey, we did not know what lies ahead for us. I think we were naïve in thinking that everything was going to be rosy and easy. We were wrong. We have come to learn that nothing good comes easy. I must say that some of the lessons we have learned along the way have helped us greatly to make necessary adjustment regarding our development process. 

While the completion date has taken unnecessarily longer than expected, we are still working on our prototype and very closed to finishing. As we continue to work, I promise to provide you with regular updates when they become available.

Making Progress, though slowly

Hello,

It has been a while since we sent out updates regarding our progress. Although we have been silent lately, however, we have been steadily making progress. We have updated information on our campaign page including pictures to show our current state of development. We are now over $30,000 in funding. Thank you to all our investors. We call on all our potential investors who are still on the fence to invest to help us continue with our development process.

We are moving closer to the completion of our prototype. We encountered a slight delay with the development of our custom PCB controller due to the recent wildfire incident in California. The prototype development of our flexible e-paper display size 11.3"  is 90 percent completed and should be delivered within the next coming days.

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
