He leads all the operational and financial aspects of the company and VAND is his full-time role.

He holds a BBA from Syracuse University, a MA from Johns Hopkins University, and a MBA from INSEAD in France.

Beyond COVID-19. How Vand Labs plans to define the new normal and emerge stronger!

The Vand Team would like to assure our investors, existing and potential, that we remain committed to bringing the VAND to life. We have been closely monitoring how the pandemic can affect the company vision, and despite initial challenges, we now find the news to be more positive than negative.  

Some points to note regarding the larger market environment: 

  • Increased consumer demand for water filtration and air purifiers: Industry watch groups are reporting triple-digit sales increases of water filtration devices, replacement filters and soda machines reflected concerns around water. Consumers also focused on keeping a healthier living environment, NPD said, more than doubling dollar sales of handheld specialty cleaning appliances.  While VAND Labs might not benefit immediately from this surge in demand, we expect this demand to remain steady at a higher value than pre-2020 levels.
  • Recovered supply chains and manufacturing activity: The manufacturing economy should continue to pick up in the coming months. Conditions are on the mend in all our supplier locations. The supply chain is back on track to improve as economies overseas begin to exit lockdowns. Factories have brought most workers back to staff production lines after the shutdowns in the first quarter and are increasing production, and inventories are being build up again.

The Vand team is actively pursuing multiple paths to achieve viability faster, with a clearer path to success:

  • Innovative E-commerce: Since e-commerce spending has been skyrocketing, we have been exploring non-dilutive, revenue financing options like Clearbanc, Sellers Funding and Shopify Capital. This would enable the company to expand without diluting shareholder equity.
  • Partnerships: We continue to align with the best of each vertical in our supply chain. This gives us access to the most proven expertise while helping us avoid common pitfalls.

This outbreak is also turning into an economic tragedy – supply chains disrupted, manufacturing priorities rearranged, spending patterns changed, and jobs lost. We have been closely monitoring the situation as it affects the company. While we hope that these disruptions are temporary, we want to keep you updated on how they could be affecting your investment into Vand Labs Inc.

  • Largest expenses are behind us: The founder-funded company has already incurred significant expenses of research, development, prototyping and testing. Product designs are complete. Patents applications are filed. Contract manufacturing capacity is secured.
  • No Debt: The company has no outstanding invoices, vendor dues or debt obligations
  • Targeted Use of Proceeds:
    • Most proceeds from this raise will be used for customer acquisition – branding, marketing and advertising – which should result in direct e-commerce revenue.
    • Founders are not drawing salaries until the company has stable revenues from product sales.
  • Lower Customer Acquisition Costs: With large overall decreases in spending on digital ads, the bid prices for ads has gone down.

We are thrilled to share that we have filed a patent application with the United States Patent and Trademark Office for the design of the VAND as a water treatment device.

"BE IT KNOWN that Koustubh Parulekar has invented a new, original and

ornamental design for a water treatment device, of which the following is a specification,

reference being had to the accompanying drawings, forming a part hereof."

Assignment of Intellectual Property: All rights were immediately assigned to Vand Labs Inc.

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
