the pitch

At Uncanny, we turn streamers of all sizes into professional-level broadcasters using our AI as an automated out-of-the-box production team. We are backed by world-renowned founders and C-officers in the gaming and broadcast industries, and our technology is proven to increase the streaming experience for viewers. Better production quality means higher viewer retention, which ultimately increases multiple core business metrics for both the streamers and the platform itself. With a growing community of 24,500 users and $1.3 million already raised, we are ready to build the future of live-streamed entertainment.

A Smart, Easy-to-Use, Cost-Effective Live Streaming Production Service

Uncanny is elevating the future of live-streamed entertainment with our AI-powered production technology. We employ cutting-edge computer vision and machine learning to operate virtually in the cloud to improve the production quality of our customers’ broadcasts. We are supported by a team of industry-recognized investors and advisors, including Comcast NBC Universal, the VP of Sales at Twitch, the Co-Founder of IGN, the CEO of T1 Entertainment and Sports, the co-creator of Guitar Hero/Rockband, the Co-Founder and CCO of Human Design, and many more.

The Problem & Our solution

Low Production Quality Leads to Viewers Spending More Time Searching for Better Content

There are over 10 million live-streaming creators in the world on Twitch alone, serving over 700 million viewers worldwide, but the production quality is still essentially public access television (Source | Source).

Streamers are entertainers, but to create a compelling broadcast, you need skills – or the resources to hire talent – in graphic design, broadcast software, and videography, to name a few. This forces viewers to spend far too much time searching for better content. Higher viewer retention would mean more revenue for streamers and the platforms. In addition, platforms take far too large revenue shares, leaving no alternative ways for streamers to make money.

We use bleeding-edge computer vision and machine learning to analyze our customers’ streams and help them create professional, beautiful, and modern broadcasts, with features such as instant replays, dynamic A/V overlays, auto-clipping, and automatic half-time shows. Our product has proven efficacy, leading to up to 95% increase in followers at an average of 12%, up to 92% increase in viewers at an average of 17%, and up to 75% increase in watch time at an average of 11%.

the market & Our Traction

Building an Enthusiastic Community in a Fast-Growing Industry

The live streaming industry was valued at $3.8 billion as of 2021 (Source). Twitch currently dominates the market and is predicted to grow at a CAGR of 22% for the next five years (Source).

We have built a community of over 24.5k users (think of that as ~25k full television channels), 35k TikTok followers, 1.5k Discord followers, and 1k Twitter followers for an estimated 50 million social media impressions. We have already raised over $1.3 million from investors including Comcast-NBC-Universal, Techstars, a VP of Twitch, the creator of Guitar Hero, and the University of Oxford. We have been featured in Forbes, CNBC, Venture Beat, and more. Recently, we were named one of the Top 10 Startups in Denver.

Why Invest

Building Foundational Technology for Live Streaming & Redefining its Possibilities

We envision our community of streamers and their audience should own the tools and platforms they use to create their content. They should have better productions that not only reflect them, but look amazing as well. They should be taking home more of what they earn. This is why we believe our community of gamers and streamers should have the opportunity to invest and be part of the platforms they use and live on.

We envision our product as an essential standard in the massive live streaming market. That includes massive opportunities in short-form content platforms like TikTok or Instagram Reels, which are venturing further into live content.

As we expand, we will also grow beyond gaming into horizontal markets such as Just Chatting, Live-Music, IRL, and Cooking streams while further developing game-agnostic features such as voice commands, facial recognition for sentiment analysis, and automatic scene changes. With our top-tier team of highly experienced leaders and advisors, we are ready to make high-quality broadcasts possible for streamers everywhere.

Hello, I was wondering if you have any updates since closing?

Todd Hahn

Hello. A couple of questions for you. 1. Why are you closing the round so quickly? Are you expecting institutional capital? 2. It looks like a lot of the notes converted on 12/31/22 and this round opened after that date. Is the share count used in the valuation counting these converted shares? If not, how many shares are currently issued? 3. Your revenue model seems promising based on your recent update. What is the expected timeline to push this into a commercial release? 4. How much capital do you think you’ll need to from here to fully realize this product’s potential? Thanks!

Jarod Rudisill

Is my understanding correct that you have developed an MVP and if so, when will it be fully released to the public and when do you believe you will begin generating revenue? I know you briefly mentioned tiktok and instagram reels, but do you envision this product being able to be used for people livestreaming on instagram, facebook, etc? Also, have you had talks with anyone like ESPN because I've noticed if you watch a game on ESPN 3 or ESPN+ the production quality is much poorer and there are typically few to no replays opposed to when games are nationally televised there are many replays and a great halftime show? Along the same lines have you had any talks with division 2 schools or even high schools which typically have just one camera being panned across the field/court and have no replays and low quality production? Finally, can you tell me revenue projections, cash burn, and exit strategy?

Hi Totao, Thanks for the question! In that case, the bonus shares do not stack, and the platform uses the larger of the two. The 8% bonus from the gold tier perk is greater than the early bird bonus, so the total bonus would be 8%. You can add on the StartEngine owners bonus for an additional 10% if you'd like.

Totao Yigo

question if I invest today in the gold tier I will get 8% share and 5 % share for the Super Early Bird Bonus correct?

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. StartEngine Bulletin Board ("SE BB") is a bulletin board platform that advertises interest in shares of private companies that previously executed Reg CF or Reg A offerings. As a bulletin board platform, SE BB provides a venue for investors to access information about private company offerings and connect with potential sellers. SE BB is distinct and separate from StartEngine Secondary (“SE Secondary”), which is an SEC-registered Alternative Trading System (ATS) operated by SE Primary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. While a security may be displayed on the bulletin board, these securities will be subject to certain restrictions which may prevent the ability to buy and sell these securities in a timely manner, if at all. Even if a security is qualified to be displayed on the bulletin board, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained.
