David is a serial startup entrepreneur and has been at the forefront of technology since the early days of the internet. In the early 00s, David put his experience with SEO and E-commerce to use in various successful affiliate marketing campaigns. 

In 2007 David joined his first venture-backed startup Eswarm and was quickly promoted to Head of User Experience. Ultimately, David ran the entire marketing department and helped grow it to over 40 employees. 

In 2016, while Director of Operations for an enterprise-focused E-commerce agency, David created, championed, funded, and managed an internal startup building a software connection between Magento and Amazon for the first time ever. He then successfully led the efforts to sell to Magento (A global e-commerce platform, subsequently acquired by Adobe) pre-consumer launch.

He is an avid lifetime gamer and live-streaming enthusiast who spends his free time with his family.

Constantine has been a lifelong gamer, and an astromony nerd. He graduated with a PhD in Physics from Oxford University, prior to working on NASA missions for 12 years, exploring planets in our solar system. 

He has worked on missions to Venus, Mars, Moon, Jupiter and Pluto. He has been on scientific expeditions to Antarctica and the Artic Circle, which was the topic of his TEDx talk. He has authored more than 30 peer-reviewed scientific papers, including in Nature and Science, and has appeared in documentaries for the BBC, NOVA and the Weather Channel. 

He was a consultant for Northrop Grumman. He has worked on and flown in high-performance fighter jets, human centrifuges and the Vomit Comet, used to train astronauts, over 8 times. He has a FAA Pilots License in Gliders and Drones. He also has an asteroid named after him.

The 10% StartEngine Owners' Bonus

Pivan Interactive, Inc. (d.b.a. "Uncanny") will offer 10% additional bonus shares for all investments that are committed by investors that are eligible for the StartEngine Crowdfunding Inc. OWNer's bonus.

This means eligible StartEngine shareholders will receive a 10% bonus for any shares they purchase in this offering. For example, if you buy 100 shares of Common Stock at $2.27/ share, you will receive 110 shares of Common Stock, meaning you'll own 110 shares for $227. Fractional shares will not be distributed and Unit bonuses will be determined by rounding down to the nearest whole Unit.

This 10% Bonus is only valid during the investor's eligibility period. Investors eligible for this bonus will also have priority if they are on a waitlist to invest and the company surpasses its maximum funding goal. They will have the first opportunity to invest should room in the offering become available if prior investments are canceled or fail.

It looks like a lot of the notes converted on 12/31/22 and this round opened after that date. Is the share count used in the valuation counting these converted shares? If not, how many shares are currently issued? 3. Your revenue model seems promising based on your recent update. What is the expected timeline to push this into a commercial release? 4. How much capital do you think you’ll need to from here to fully realize this product’s potential? Thanks!

Is my understanding correct that you have developed an MVP and if so, when will it be fully released to the public and when do you believe you will begin generating revenue? I know you briefly mentioned tiktok and instagram reels, but do you envision this product being able to be used for people livestreaming on instagram, facebook, etc? Also, have you had talks with anyone like ESPN because I've noticed if you watch a game on ESPN 3 or ESPN+ the production quality is much poorer and there are typically few to no replays opposed to when games are nationally televised there are many replays and a great halftime show? Along the same lines have you had any talks with division 2 schools or even high schools which typically have just one camera being panned across the field/court and have no replays and low quality production? Finally, can you tell me revenue projections, cash burn, and exit strategy?

Hi Totao, Thanks for the question! In that case, the bonus shares do not stack, and the platform uses the larger of the two. The 8% bonus from the gold tier perk is greater than the early bird bonus, so the total bonus would be 8%. You can add on the StartEngine owners bonus for an additional 10% if you'd like.

StartEngine Bulletin Board ("SE BB") is a bulletin board platform that advertises interest in shares of private companies that previously executed Reg CF or Reg A offerings. SE BB enables shareholders to communicate interest in potential sales of shares in private companies and investors to discover, review, and potentially invest in private companies. As a bulletin board platform, SE BB provides a venue for investors to access information about private company offerings and connect with potential sellers. SE BB is distinct and separate from StartEngine Secondary (“SE Secondary”), which is an SEC-registered Alternative Trading System (ATS) operated by SE Primary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. While a security may be displayed on the bulletin board, these securities will be subject to certain restrictions which may prevent the ability to buy and sell these securities in a timely manner, if at all. Even if a security is qualified to be displayed on the bulletin board, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained.
