The 10% StartEngine Owners' Bonus

This means eligible StartEngine shareholders will receive a 10% bonus for any shares they purchase in this offering. For example, if you buy 1,000 shares of Class A Common Stock at $0.65 / share, you will receive 1,100 shares Class A Common Stock, meaning you'll own 1,100 shares for $650. Fractional shares will not be distributed and share bonuses will be determined by rounding down to the nearest whole share.

This 10% Bonus is only valid during the investors eligibility period. Investors eligible for this bonus will also have priority if they are on a waitlist to invest and the company surpasses its maximum funding goal. They will have the first opportunity to invest should room in the offering become available if prior investments are canceled or fail.

Hello, in several interviews you mentioned this technology already existed in the medical space, but you "commercialized" it. Can you expand on that comment. First question, what existed before Smart Cups. What does their patent cover and what does your patent cover? Also, you mentioned this product has humanitarian use cases. However, usually in developing countries and even in disaster areas in developed countries, lack of clean water is the need. Furthermore, compound that with single use plastic (albeit biodegradable), and the delivery system of pills and powders seems to be a more efficient way to solve the problem. I know in past responses you said 3D printed is better for people who can't take pills and more consistent than powders. However, the problem exist today. So, second question, what deliver system is being used for people who can't take pills or humanitarian needs for nutrition/medicine?

I find this an amazing product and I am proud to count myself as an investor. I read that you will be going into pharmaceutical and I feel this is a step in a good direction. There are many children, as well as older adults, who have a hard time swallowing pills and with this delivery system, possibly with added organic flavoring to help, I think it will revolutionize the pill industry. This would be a great help in nursing homes, as well as home hospice and hospitals, for prescription meds as well as vitamin supplements. There are unlimited possibilities for Smart Cups in helping with medications/vitamins, including local pharmacies and OTC items. Impoverished nations will also benefit from this. Thank you for creating something great that can help the world.

Crowdfunding

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.
