Saucy Brew Works was born and brewed in Ohio. We are a Cleveland-based production brewery and brewpub with roots in our hometown that have spread into Central Ohio and Michigan. We are midway through a massive expansion phase that originally included three brewpubs which opened in 2020-21, and now will include an expansive production facility that will double our brewing capabilities and additional brewpubs that cross beyond our state lines.

OUR BUSINESS MODEL


We use the “pub and spoke” approach; a production facility that supplies smaller, neighborhood-oriented pubs. This is important to us for a number of reasons, and we move forward following a three-step strategy.


First. We want to win in new markets, we believe that planting roots in each neighborhood leads to better traction and awareness than simply distributing beer. In doing so, we aim to amplify the communities we serve and provide unique experiences at each brewpub. We serve a variety of offerings for our beer enthusiasts, novices, and non-beer drinkers alike. As we continue to develop deep roots through our establishments and community partnerships, we will right-size our distribution to drive home the growth within that respective market, later expanding into additional cities and states.

Second. We need to have the ability to deploy our capital efficiently. Data from the Craft Brewer's Association shows that breweries tend to be inefficient when using capital sources to drive incremental changes to brewery infrastructure, which drives up fixed overhead. The real goal of capital deployment needs to be driving top-line growth. We have shown expertise with that, having the majority of proceeds from our previous StartEngine raise go towards geographical expansion.


Third. We invest in the People and Culture. One of the tenants of this raise is to give employees the opportunities and training to continue to advance their careers and take true ownership of our brand. We know that the more we invest in our team, the more they will invest back into their company and help build the communities we call home.

DRIVING SALES 

We are the fastest growing brand over the last 52 weeks in Information Resources, Inc. (IRI) sales, which is the "industry" term for grocery store sales, in our home market of Cleveland, leaping us into the Top 5 of highest selling craft breweries that are headquartered in Cleveland. In the entire state of Ohio, we became the fourth-fastest-growing brand over the last year and, sending us into the Top 35 breweries in sales for the entire state of Ohio. We compete with the more regional players in the space today and are heading our way into national territory.


LAUNCHING NEW PRODUCTS + SERVICES

In July 2020, we opened our first Coffeehouse in Orange, Ohio. Saucy Coffee has grown to three locations including Columbus, Ohio, and Detroit, Michigan. We plan to continue the expansion of our full-service Coffeehouse as we continue into new regions and introduce our signature line of packaged Whole Bean Coffee available at all Saucy locations and local grocery stores.

WHY WE'RE BACK




GEOGRAPHICAL EXPANSION AND INCREASED PRODUCTION

Why are we back? Simple. We want to create more value for our current and potential investors by continuing our expansion into new markets and finalizing the build of our largest production facility to date in Independence, Ohio. Saucy is fully committed to the list of projects below and expects to make significant progress on each of these before the end of 2021. 

  • Production Facility and Beerhall - Independence, OH: This production facility has been a dream of the original ownership team since day one. Once the facility is fully operational, it will boast enough production space to compete within the US Top 50 Breweries based on BBL volume. In addition to the brewing capacity increase, the space will serve as a stunning beerhall, event center, and outdoor beer garden for all ages to enjoy. It will serve as our official headquarters, providing a place for our management team to call home. Saucy now owns the land where we will be building. The land is adjacent to Top Golf, making it a destination location for Northeast Ohio visitors. We expect to break ground in early-Summer 2021. 
  • Brewpub - Charlotte, NC: Our first expansion effort out of the Midwest will be in North Carolina. The Queen City will become the first location within our second phase of geographical expansion. We are in the design phase with plans to begin construction in 2021. 
  • Food Truck(s): We intend to launch a fleet of food and beer trucks in our local markets as the opportunity coincides with our efforts to build more service options within our communities. With this concept, we will have the ability to meet and serve locals at various parks, festivals, concert venues, and more. 
  • Brewpub - Location TBD, Investor Choice: We will continue plans to expand outside of the Midwest, and intend to provide our investors with the opportunity to provide input on such locations. We have a few options currently on the table which include Nashville, TN, Tampa, FL, Miami, FL, and Park City, UT.

Investors will make their investments by investing in interests issued by the co-issuer, Saucy Brew Works SE2 LLC, for this offering, which is a special purpose vehicle (“SPV”). 

Instead of issuing its securities directly to investors, the Company, Saucy Brew Works LLC, has decided to issue its securities to the SPV, which will then issue interests in the SPV to investors. The SPV has been formed by the Company and is a co-issuer of the securities being offered in this offering. The Company’s use of the SPV is intended to allow investors in the SPV to achieve the same economic exposure, voting power, and ability to assert rights under State and Federal law, and receive the same disclosures, as if they had invested directly in the Company. The Company’s use of the SPV will not result in any additional fees being charged to investors. 

The SPV has been organized and will be operated for the sole purpose of directly acquiring, holding and disposing of the Company’s securities. As a result, an investor investing in the Company through the SPV will have the same relationship to the Company’s securities, in terms of number, denomination, type and rights, as if the investor invested directly in the Company.

In order to complete necessary tax filings, the SPV is required to include information about each investor who holds an interest in the SPV, including each investor's taxpayer identification number ("TIN") (e.g., social security number or employer indentification number). To the extent they have not already done so, each investor will be required to provide their TIN within the earlier of (i) two (2) years of making their investment or (ii) twenty (20) days prior to the date of any distribution from the SPV. If an investor does not provide their TIN within this time, the SPV reserves the right to withhold from any proceeds otherise payable to the investor an amount necessary for the SPV to satisfy its tax withholding obligations as well as the SPV's reasonable estimation of any penalties that may be charged by the IRS or other relevant authority as a result of the investor's failure to provide their TIN. Investors should carefully review the terms of the SPV Subscription Agrement for additional information about tax filings.

The 10% StartEngine Owners' Bonus

Saucy Brew Works, LLC will offer 10% additional bonus units for all investments that are committed by investors that are eligible for the StartEngine Crowdfunding Inc. owner's bonus.

This means eligible StartEngine Unit holders will receive a 10% bonus for any units they purchase in this offering. For example, if you buy 100 Class C Units at $1.13/unit, you will receive and own 110 Class C units for $113. Fractional units will not be distributed, and unit bonuses will be determined by rounding down to the nearest whole unit.

This 10% Bonus is only valid during the investor’s eligibility period. Investors eligible for this bonus also will have priority if they are on a waitlist to invest and the Company surpasses its maximum funding goal. They will have the first opportunity to invest should room in the offering become available if prior investments are cancelled or fail.

Investors will only receive a single bonus, which will be the highest bonus rate they are eligible for.

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors.
