ROCK'N Vodka is a multi-award-winning brand that is co-owned by Rock n' Roll Hall of Famer Rick Nielsen of Cheap Trick. Our vodka is made from 100%, non-GMO, and gluten-free sugarcane, making it one of the few sugarcane vodkas in the world. In 2022, we doubled our retail locations and increased our sales by 84.1%, with placements in major retailers and partnerships with major distributors. With major growth in sales and social media engagement, we plan to continue to open up to new markets into 2023.
We make fun and unique vodka that grabs the attention of consumers by using 100% non-GMO and gluten free sugar cane. Our founders Andy Roiniotis and Denny Trakas have been partners for 18 years, with a background in the restaurant hospitality business, and have successfully flipped 5 restaurants. We sell ROCK'N Vodka to distributors who then sell to retailers, and also sell both the vodka and merchandise directly to consumers from our website, including a crypto payment option!
The Problem
Vodka is a delicious, versatile favorite amongst spirits, but currently the bourbon and tequila markets dominate the specialty spirit category. We know that with a little innovation, vodka holds the same potential, and we are here to get people excited about vodka again!
While developing our product, we realized that although sugar cane rums are quite common, many people still have not heard of sugarcane vodka. That’s where ROCK’N comes in.
The Solution
Our vodka is made from 100%, non-GMO, and gluten-free sugarcane, making it one of the few sugarcane vodkas in the world. Its smooth, distinctive, and delicious taste makes it great to sip on the rocks, add to a drink, or use when cooking. It is distilled 4 times, with no sugar added after distillation, and is both gluten-free and vegan-friendly. Even people who dislike vodka have reported that they were pleasantly surprised by our product, and would choose to drink it!

The Market
Sugarcane vodkas are a special niche appealing to both loyal vodka drinkers and partisans of any alcoholic beverage. Our current retail markets include California, Florida, Georgia, Illinois, Iowa, Nevada, Oklahoma, Texas, Washington, Wisconsin, and Alberta and British Columbia in Canada.
Being one of only a few sugarcane vodkas in the world, our unique flavor sets us apart. We are currently in a unique position for growth, as many restaurants, bars, and retailers are removing all Russian vodkas due to current world events.

As a celebrity-owned brand gaining increasing global recognition, we have an edge on the competition thanks to our promotions by co-owners Rick Nielsen, Daxx Nielsen, and Miles Nielsen. Our sales increased by 84.10% in 2022, with e-commerce sales increasing by 1,054%. We had over 15 million impressions on Facebook, Instagram, and YouTube alone in 2022. Our Facebook followers grew over 800% in 2022 to 32,000+ fans.
ROCK’N Vodka was featured in Forbes as the Double Gold Winner at the New York International Spirits Competition in 2021, and won Silver at the World Spirits Competition in San Francisco in the same year. The 10% StartEngine Owners' Bonus
Bella Rio Consulting, Inc. dba ROCK'N Vodka will offer 10% additional bonus shares for all investments that are committed by investors that are eligible for the StartEngine Crowdfunding Inc. OWNer's bonus.
This means eligible StartEngine shareholders will receive a 10% bonus for any shares they purchase in this offering. For example, if you buy 100 shares of Preferred Series B at $1.90 per share, you will receive 110 Preferred Series B, meaning you'll own 110 shares for $190. Fractional shares will not be distributed and share bonuses will be determined by rounding down to the nearest whole share.
This 10% Bonus is only valid during the investor eligibility period. Investors eligible for this bonus will also have priority if they are on a waitlist to invest and the company surpasses its maximum funding goal. They will have the first opportunity to invest should room in the offering become available if prior investments are canceled or fail.
Investors will receive the highest single bonus they are eligible for among the bonuses based on the amount invested and time of offering elapsed (if any). Eligible investors will also receive the Owner’s Bonus in addition to the aforementioned bonus.

As our company continues to expand, our partnerships, data, and sales all experience significant growth. In a 12-week analysis of our e-commerce sales, there has been an astounding increase of 1,899.29% specifically for bottle sales.
In other exciting developments, our product has achieved prominent product placement in 66.67% of all Binny's stores in Illinois, with 63.33% of those locations reordering our product. Additionally, our leading on-premise account in Illinois is the newly established "The Opening Act" at Hard Rock Rockford Casino, where a remarkable 852 ROCK'N Vodka drinks were sold in May.
On a national scale, since our launch with Rock & Brews, we have successfully secured placement in 36% of their locations, and an impressive 62.5% of those establishments have already placed reorders for our product.
Looking ahead, we are thrilled to announce the upcoming launch of ROCK'N Vodka with two highly esteemed distributors in their respective states, scheduled for the end of June or early July. We plan on blitzing the two markets upon launch.

Born to Greek immigrants, Andrew (Andy) grew up working every role in the hospitality industry through his family restaurants in Waukegan, Illinois. Andy credits his father, Gus, for his strong work ethic as he was taught every responsibility in the business, and now he instills those same lessons into his current businesses and into his children. He credits his mother, Youla, for his thinking out-of-the-box mentality and not being afraid to take chances. This lead Andy to Hollywood, where he created Four Play, a reality show. Swimming with the sharks in Hollywood, Andy learned and credits his business strategies and negotiation skills that are still used today. In 2005, he moved to Rockford, Illinois to start a new restaurant with his partner Denny Trakas. Not settling for the success of one business, Andy and his partners turned one location into a group by launching three more restaurants and other businesses. In 2015, Andy and his wife Isabelle started Bella Rio Consulting, which oversaw branding/consulting and community relations for their enterprises. In over thirteen years, they grew the companies to over 200 employees throughout seven businesses. Andy and his partners wanted to ensure that they always gave back to the community. They have since raised upwards of $500,000 for various charities in the last decade and have invested over $5,000,000 in Illinois by identifying opportunities and activating a blended network to drive success thus resulting in a stronger local economy. Andy became a community leader and sought to share his knowledge with others everywhere, including local municipalities and nonprofit organizations. In 2019, a dream was turned into a reality as Bella Rio became the parent company of ROCK'N Vodka, the now multi-award-winning, sugarcane spirit. Andy's hard work and philithrophy allowed him the opportunity to invest in one of the most iconic brands in the world, Hard Rock Casino. There, Andy kept crossing paths with Rick Nielsen of Cheap Trick and later introduced him to ROCK'N Vodka, where Rick became a partner. With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.
With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.
At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.
Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.
For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.
Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.
Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.
Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
