Brian Scott is a seasoned business executive and angel investor, having built and grown several other multi-unit business .Mr. Scott earned his BA in History from the Pennsylvania State University and MS in Software Engineering from Gannon University.  

At RentWay Inc, where Mr. Scott served as CIO and Director of M&A, he helped take the company public on the NASDAQ exchange and later moved to the NYSE. He helped grow the company from 13 locations generating $7M in annual sales to 1,200+ locations and almost $700M in annual sales before exiting the company to start his own multi-unit RTO and short-term lending business. While at RentWay, Mr. Scott built an IT team of 75 people, built and led acquisition audit and transition teams, and was intimately involved with strategic decision making among every function within the company. RentWay was recognized by Forbes Magazine as one of the “100 Fastest Growing Companies in America” on four different occasions in a seven-year period and Mr. Scott constructed many of the project plans and built many of the teams that drove that growth. 

Throughout his career Mr. Scott led a total of seven company startups or turnarounds including both for-profit and non-profit enterprises. He notably turned around the Flagship Niagara League (non-profit supporting the Commonwealth of Pennsylvania’s Flagship) and started the Tall Ships Erie festival, which continues to be the largest fundraising event in Northwest Pennsylvania. 

As a thirteen-year Angel Investor, Mr. Scott has screened more than 5,000 companies, and conducted due diligence or led due diligence teams on dozens of startups. He has invested in more than 40 startups during his angel investing tenure and believes that PittMoss has the best opportunity for disruption than any of the other companies he has screened.

Dr.Bethke has had an interest in soils since conducting his first soil research in his father’s Greenhouse in western Michigan. With this interest, Dr. Bethke attended Michigan State University served as a student teaching assistant while receiving his bachelor's degree in soil science. He went on to the University of Missouri and received a master's degree focusing on soil fertility and nutrient buffering. Dr. Bethke returned to the family farm that focused on Greenhouse production and vegetable farming. During that time, he conducted a radio show on gardening. After about five years he attended Michigan State University and obtained a doctorate in plant physiology, as well as coordinated the research Greenhouse facility with over 70 researchers. Dr. Bethke then became technical director for Michigan Peat Company, the largest peat company in the United States and he served as research granting coordinator for the Bedding Plant Foundation. After 13 years, Dr. Bethke became a consultant serving Companies and Growers in the greenhouse and growing substrates industry. In 2014, he began working with PittMoss LLC as the technical director working on formulation of growing substrates. The work was performed with a focus on environmental stewardship, recycling products and sustainable materials. Currently his focus is highly dedicated to regenerative agriculture and wise use of resources. He won’t admit it himself, but Dr.Bethke is highly regarded as one of the top 5 soil scientists in his field.

With over 10 years of startup management experience, Ashley Mariani is passionate about her role in growing PittMoss. While receiving her MBA and MA in Mass Communications and Journalism, Ashley began her career at the Mayor’s Office for the City of Pittsburgh and then joined a fast-growing SaaS-based software startup, Industry Weapon (acquired by Spectrio). While overseeing their marketing department, Ashley was introduced to PittMoss in 2016 and joined to help launch e-commerce and marketing functions. The role quickly grew, and Ashley is involved in many aspects of the business - supervising marketing, assisting with sales strategy and reporting, process improvement and development to software implementation, employee onboarding, factory tours, community engagement, garden club presentations and more. As the Director of Business Development, Ashley takes her broad experience and leadership skills wherever she is needed to help grow the business.

Mark Goldman has spent his life in the horticulture industry and brings 40+ years of industry experience to PittMoss. Spending 20+ years at Brighton By-Products, a regional horticultural supply company in various marketing and sales capacities, Mr. Goldman’s role grew to becoming Vice President and oversaw the sale of the company during a period of industry acquisition. Mr. Goldman then became VP at Therm-O-Rock where he led and restructured a manufacturing product line producing peat mixes using innovative materials such as rock wool. After being introduced to PittMoss, Mr. Goldman joined the team in 2014 and has led our sales efforts, utilizing his extensive industry experience and network to establish PittMoss as a legitimate alternative to commercial peat use. After all this time, you will still find Mr. Goldman making his way across the country enthusiastically pitching PittMoss to every greenhouse or farm and making sure every potential customer who passes our trade show booth knows about our products. In addition to PittMoss, Mr. Goldman also serves as a strategic advisor to Aquarius Power Co.

Amber has 20+ years of experience leading the finance departments for companies of all sizes and across various industries. She has an MBA, is a PA attorney and is passionate about helping companies grow and prosper. She began her own firm, Finacctic to help entrepreneurs and business leaders achieve their dreams by providing value-add accounting and finance services critical to managing, analyzing, and growing a business. Amber has been with PittMoss for over six years, as our contract CFO and General Counsel.

Rob’s knowledge of PittMoss and the unique nature of the industry has provided Rob with an incredible breadth of experience that he brings to our growing sales channels. Rob’s role has also grown to oversee the development of our new sales interns, mentoring them through their first year on-the-ground. Rob earned his MBA after completing his B.S in Information Management Systems and has previous experience as an SEO coordinator for Dicks Sporting Goods.

Donna joined PittMoss close to four years ago in a part-time capacity to help oversee important marketing functions, such as point-of-purchase design, budgeting, trade-show management, PR requests, social media and brand management. Donna also sits on the board of the Sewickley Music Club and Sewickley Cemetery Foundation.

Rachel Szelc started as an intern while completing her B.A. in Accounting, with minors in Supply Chain and Project Management. She quickly proved PittMoss needed her full-time and came on board after graduation. Rachel has spent the past 4 years managing the day-to-day operations between sales and production. As the Operations Manager, Rachel helps coordinate orders, assists with AP/AR/payroll and general bookkeeping, as well as maintaining sales and shipment reports. Rachel also assists the production team with inventory management, purchase orders, costing and controls. To top that off, Rachel also works closely with QA, R&D, and in-house testing. Rachel organizational skills keep operations in order and her deep knowledge of the operational functions at PittMoss HQ is invaluable.

With a degree in Wildlife & Fisheries Sciences, an M.S. Sustainable Systems Sciences and a former PSCE Master Gardener project coordinator, Mary brings an incredible amount of technical knowledge and lived experience to PittMoss. From her work in research and sustainability at both Slippery Rock University and California University of PA, Mary arrived at PittMoss in 2019, where she coordinates our QA and R&D at our facility in Ambridge and applies for and facilitates work for our grants. Mary’s technical experience, on top of living on a homestead with chickens and horses, provides PittMoss with meaningful real-world know-how, along with ample testing resources and application research.

What is a Convertible Note?

A convertible note offers you the right to receive Preferred Units in Pittmoss. The amount of Preferred Units you will receive in the future will be determined at the next equity round in which the Company raises at least $1,000,000.00 in a qualified equity financing. The highest conversion price per security is set based on a $15,000,000.00 Valuation Cap or if less, then you will receive a 15.00% discount on the price the new investors are paying. You also receive 5.00% interest per year added to your investment. When the maturity date is reached, if the note has not converted then you are entitled to receive Preferred Units equal to your investment and interest back at a price per security determined by dividing the Valuation Cap by the aggregate number of outstanding equity securities of the Company as of immediately prior (on a fully diluted basis).

PittMoss Commercial Products Are A HIT With Growers, Farmers, and Soil Mixers!

With more and more commerical growers looking for alternatives to growing in peat due to increasing costs, environmental concerns, and peat shortages, PittMoss is having success with commercial customers who are looking for better solutions. 

For example, Greendell Landscape Solutions in Indiana began blending in PittMoss a year ago due to peat shortages they were encountering and learned that it really improved their products. This year Greendell has not only purchased for their regular soil blends, they also started buying PittMoss as a seed starting mix by the truckload this season. See photos of PittMoss and Grendell’s blend below.

Leighton Morrison, CEO of Kingdom Aquaponics, is a soil consultant in Los Angeles who purchased truckloads of PittMoss to help avocado and olive farmers reduce their watering by 2/3 by using PittMoss as a mulch. “PittMoss is a game-changer for drought-prone regions,” says Morrison. 

Our growing commercial business means PittMoss is being incorporated in mixes across the country – from Soilutions in New Mexico to Country Roots in Michigan. Chris Dennison, owner of Country Roots states that, “PittMoss is a great addition or alternative to peat in my blend that helps retain moisture and spread that water evenly. It is a good natural amendment for live soils and our worm bedding”. 

A reason for the success of PittMoss being integrated into these large operations is that our technology has solved problems surrounding water retention and nitrogen management, that are present with other alternatives, like wood fiber and coconut coir. PittMoss’ superior water and nutrient holding capacity have big impacts for growers large and small. 

Not only are PittMoss' retail products rated best in class by magazines like Better Homes & Gardens and Country Living Magazine, commercial growers are now able to substitute peat, coco coir or wood fiber with PittMoss' grower grade products to dramatically improve their finished products for nurseries and farms.

PittMoss Welcomes New VP of Sales - Robert Phillips

Robert “Rob” Phillips has joined PittMoss as Vice-President of Sales.  Robert has 30 years’ of outstanding experience related to Growing Media categories.  He held several key positions with milestone achievements during his 21 plus years with Scotts Miracle-Gro.  

Robert is confident that the Growing Media space is ready for new innovation not seen in the past few decades. A surge of growth came upon the industry with the introduction of Coco Coir and the opportunity is present to bring PittMoss with its tremendous water holding capacity to the trade.  

His focus will be placed on three channels with prior experience (lawn and garden retail, commercial growers, wholesale packagers) and expectations are to grow substantially with compounded annual growth at a minimum of 75% 2024 through 2026.  Market share is expected to be gained from a combination of category growth and taking share within that growth due to an end user trade-up strategy.  Expansion into the West in all channels is expected in the key Sustainable and Organic Demographic Marketing Areas.

Some of the many achievements include the following:

  • Key Account Manager where he grew sales territory from $750k to $3.8MM in 3 years. 
  • Marketing Brand Manager achieving revenue of $45MM (prior year $26MM) in year-one of a 3-year plan. 
  • National Account Manager for Home Depot resulting in $72MM to $110MM, and lead improved results in Canada from $3MM revenue to $10MM in a single year – improving margins from 20% GM to +10% GM in a single year.
  • Director of Growing Media achieving growth from $35MM to $68MM, and improving company margins from 13% to 29% in the region.  
  • Director Regional Sales and Director of Business Development where he was responsible for relationship management of retailer regional management with Home Depot, Lowes and Walmart that consisted of 13 western states, 4 districts, 40 sales territories and 300+ seasonal merchandisers that generated $210MM in volume.
  • He has been focused on Sustainability programming the past 8-years as Vice President Business Operations of EcoScraps and Director of Organic Sales for Athens Services.  
  • Athens Services is the premier Sustainable waste collector in Southern California focused on recycling and landfill avoidance for organic materials.  There Robert helped contribute to converting 90% of organic materials collected into new usable beneficial products including Organic Compost.  
  • He led the efforts that resulted in becoming a key supplier of Organic Compost to two national consumer package companies and expects to do the same with PittMoss.
  • Contracted with new Commercial Distributors and grew Organic Compost sales 17% CAGR over a 6-year period.   

He brings a history of building teams and of building outstanding customer relationships via superior customer service and communication. 

Robert is extremely excited to join PittMoss primarily due to the fact that the material can help replace Peat Moss in so many channels of trade and that in doing so will help reduce consumption of Peat Moss bogs which in turn is beneficial to our environment.  

He is also very bullish on the future of PittMoss because not only is the product Sustainable, but it is also positioned to be Organic Certified while providing excellent consumer results.  It is rare in the green space for a given product to be Sustainable, Organic Certified and have proven results for end users.

He intends to build upon the current outstanding team of dedicated associates and focus on lawn and garden retailers, growing media consumer package providers and commercial live-goods growers.  He intends to build a foundation of relationships with key channel influencers and expand upon current network of partners to result in substantial growth.

Robert and his wife Kerry reside in Deer Park, WA and he spends his free time tending to 10 acres of forest.  His two sons, David and Matthew, are Sergeant’s in the Space Force and Air Force, respectively.

Based on the Form C-AR, it appears that you're still burning up $100K every month~roughly equal to what you receive in revenue. Is this an accurate depiction of where things are currently? When can we expect this to improve? Without significant improvement, it appears that Pittmoss is completely reliant on future raises to stay in business...

Hello Brian, i absolutely love the idea. Would you happen to have your 2021/2022 earnings available i would like to look at them. I checked the offering memorandum and i only see 2020/2021 earnings. I am confused about that because every company i invested in so far on StartEngine have their 2021/2022 earnings available via offering memorandum. However, your offering memorandum only shows 2020/2021 earnings. When do you plan on updating it?

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
