Overview

Lucrative Opportunities in a Growing Market

Copperworks was founded by craft brewers with more than 30 years of experience in the alcohol industry. We built our distillery to answer the question: how would spirits taste if they were distilled from superior craft beer (without hops) instead of the typical methods and ingredients of conventional distilleries? The answer led Copperworks to become a pioneer in producing American Single Malt Whiskey, a fast-growing spirits category with substantial national and international market opportunity.

The Market

Massive, Growing Opportunity in Craft Spirits

The rapid-fire growth of the crafts spirits market coupled with the substantial and consistent growth of the American whiskey market offers great opportunities for the future of American Single Malt Whiskey. Copperworks is well-positioned to capitalize on two growth market categories that, together, create a huge untapped market opportunity.

TEAM

Jason Parker

Jason Parker

Co-Founder/President

Jason was raised in Kentucky and may have a touch of bourbon in his blood. Maybe that’s what got him into craft beer brewing in the early days, before there was even a microbrew scene in Seattle. With degrees in chemistry and microbiology and love of fine beer, he was the first brewer at Pike Place Brewery in 1989. He went on to refine his craft with Fish Brewing Company, Redhook, and work as Brewmaster at Pyramid Breweries. He partnered with Micah Nutt to open Copperworks in 2013. A long-time advocate for craft brewing, craft malting, and craft distilling, Jason served as Board Member and chair of the Washington Distiller’s Guild. He led Copperworks to become a founding member of the American Single Malt Whiskey Commission. He now serves on the Board of Directors of the Craft Maltsers Guild.

Micah Nutt

Micah Nutt

Co-Founder/Distiller

Micah is a skilled and technical home brewer. Introduced to the craft in the 1980s by his brother, Micah eventually constructed an efficient all-electric basement brewery. As a software engineer, he set out to fully automate the process with computer control. But the solid-state relays, thermistors, and painstakingly soldered circuit boards were abandoned after he realized that brewing is more fun when done the old-fashioned way. Long encouraged by friends, Micah casually explored opening his own brewery in the new millennia. But when Washington State passed legislation allowing craft distilleries, his thoughts diverted to starting a distillery. Among Micah’s many talents is wood-working and he rebuilt and refined the stunning antique bar featured in Copperworks’ tasting room.
Jeff Kanof

Jeff Kanof

Co-Owner/Vice President

Jeff is a recovering attorney, having left his law firm job in New York City for the Northwest to focus on his passion for fine spirits. He cut his teeth in Seattle by helping to launch Letterpress Distilling. Always an avid beer fan, Jeff spent a month in Belgium seeking out some of the world’s best beers. His interest in complex flavors and craftsmanship led him to explore American whiskey. Countless bottles later, he realized he had fallen in love with spirits and the art of mixing drinks. Jeff joined Copperworks in time to help bottle the first batch of spirits and now directs sales and a huge range of other functions at Copperworks. He serves as Secretary/Treasurer on the American Craft Distilling Association’s Board of Directors.

Just wanted to say how happy I am to participate in this. I visited WA in 2014, and my friend and I found Copperworks by accident. We got a private tour of the newly opened waterfront location, and did tasting of the Vodka and Gin. At the time, you didn't even have Whiskey available, and had just barreled the first whiskey. It's amazing to see how far you have come since I found you in 2014, and I'm happy that one of my favorite craft vodka's from the place I now come home is growing and moving toward becoming much more successful. Cheers to this round of funding. I can't wait to see the progress on these projects.

As a Kenmore business owner, I'm gladly investing into Copperworks Distilling Co. I believe you’ll find Kenmore the perfect place for your expansion plans. Do you have a business plan-type pdf link explaining the 3 expansions phases with details and target completion dates?

I'm someone wanting to invest but currently determining how much to risk. I believe this will be a lengthy investment period. After reviewing all your materials provided, I have questions if you don't mind answering. I've enjoyed your products, best of luck with your expansion. First, are you modeling your growth intentions, following in the footsteps of another distiller's business role model? Which has seen success in reaching their similar growth aspirations. Do you have a targeted date to being profitable? Is there consideration for an IPO has we hope retail sales in your product expands to multiple markets? Second, it looks possible you will not reach your maximum. If you do not reach your maximum of $4,999,999.86 invested in this round, how far does it set back your plans for expansion and growth? Third, supposing a major buyer makes an offer and you three voting partners decide to sell your company to a corporation such as Anheuser (Elysian), or a celebrity such as Ryan Reynolds (Aviation), which recently sold to Diageo. What happens to our shares assuming we investors will have to sell as well. Who or what determines the share price we must sell at? Lastly, regarding the debt your company currently owes its creditors. Is the company financially well enough to make repayments towards the principle borrowed? Or are you only making interest payments? That's a lot of questions, I know. Please answer what you can. And thank you for your time. All the best!

If I only want to invest in stages 1 or 2 of the expansion could I sell my shares afterward? What would be the process of doing so?

I live in South Carolina and during a recent business trip, I was able to visit CopperWorks Distillery. All I can say is that it is one amazing location. Was able to do a tasting and meet the team. Very knowledgeable about the business and they have a very well mapped out plan and focus. I was able to order about 8-10 bottles of some of the best tasting whiskey! 038 and 039 whiskey is some of the smoothest I have ever tasted. It is very had to imagine it getting better! They support some amazing causes. Before I forget, the peated whiskey is also amazing. Keep up the great work and the great vision!! By the way, everything arrived today and was packaged very well. Christmas early for me. Ordering more tomorrow. Thanks to the team, Kyle

FAQS
Crowdfunding

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. To learn more about Regulation Crowdfunding, click here, and for Regulation A+, click here.
