Apart from working full time at Arygin (from September 2018-Present), Jody is the Current Principal at Overwatch Fund (primary position from 2018-Present), where she is responsible for human resources and accounting and finance functions. She actively participates in mergers and acquisitions, as well as day to day operations. Jody has experience with financial reporting and budgeting, payroll, commission calculations, best practices, and accounting system implementation. In her career, Jody also carefully monitored and maintained gross margins through economic cycles. Previously, she managed operations (human resources, accounting and finance) at Integra Realty Resources, a commercial real estate company, from 2001-2016. In this position, she participated in mergers and acquisitions, best practice procedures, and held positions on the Executive Board and Compensation Committee. Jody was selected as CFO of the Year by the Fort Worth Business Press in 2010.

Jason is a dynamic executive, consultant, and educator with a passion for disrupting the status quo. Experienced as a CEO, SVP, and business owner across multiple industries, disciplines, and organizational sizes, Jason has led startups and turnarounds for a range of organizations, including a Fortune 500 $250M subsidiary and a $750M federal portfolio. He challenges organizations to think critically, adapt, and explore adjacencies. Jason articulates vision and develops strategies to maximize growth, profitability, and industry leadership, and he also leverages technology and business acumen for measurable efficiency and profitability benefits. In 2018, Jason became a mentor/advisor at Startup Virginia, and he became a Professional Lecturer at Virginia Commonwealth University.

He founded his first web design and web hosting company at age 14, and at age 16 he ran the IT department of a large stock brokerage firm. Jeff founded a second successful web design and web hosting company. Since 2014, Jeff has worked as the Charlotte Chapter Director at Startup Grind. He also has experience in Venture Capital and has assisted in raising numerous funding rounds for startups as well as assisting in building companies from the ground level. He is currently a board member at several rapid growth startups as well as an advisor, consultant and more for technology companies across the globe.

With the offering having no updates for almost 2 1/2 years, when will be the next update for investors be posted? I know that the covid outbreak threw a huge kink into many-many things, with that being said an update on current operations and possibly a timeline of past to present company milestones and events would be great for investor confidence.

Question regarding regarding "Our unique patent pending device detects the number of viewers watching media content" There was some mentioning of what's on the shelf now and what's out there tomorrow technology- however your company looks to be forecasting a sooner than later launch approach. Big Daddy being in one's home is a huge deal. Would whatever "camera" technology not fall under FCC guidelines at a minimum. Then just the thought of all levels of privacy infringement into the individuals home, any where groups of under age 18 to 105 +/-, anywhere the device is installed for public viewing of the entertainment piece? How would the device detect if another person arrived after the movie / paid event started or in and out of the area for break etc, or if the movie was paused and additional people arrived after the fact etc etc etc. Who and what is on the other side of the monitoring detection in the million's of installed device locations? -- If you are in the comfort of your own home, you may not be dressed for church or an evening out - I am most positive most people do not wish to be the source of another's entertainment on the other side of the camera. What about other countries? Would their own version of government privacy guidelines / regulatory be implemented as an all in one - just click on your country and the software takes it from there? Netflix has deep pockets, has the brand recognition, people in place, investors etc etc.. They have the capital- what would keep them from taking their millions and create premium features and place current movies in homes vs waiting on the 90 days. Give their millions of current paying customers the option. Would Netflix not continue to improvement / upgrade their existing platform? Has your company has an external financial audit yet?

Crowdfunding

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
