Our most recent marketplace success?  Attracting Southern Glazer's Wine & Spirits ("SGW&S") to promote and distribute our whiskey in Nevada. SGW&S is the largest national distributor in the U.S., selling to 44 states and D.C.  A December launch date with SGW&S is planned.  Success in Nevada with SGW&S has the potential to expand our relationship into other states, a clear roadmap for taking James FC Hyde Sorgho Whiskey national.

Our team is led by entrepreneur and Executive Chairman Steve Vanechanos and spirits-industry expert, world-renowned mixologist, and author Brian Van Flandern.  They are both supported by a collection of seasoned Wall Street professionals, and public company executives.

Epec's Story So Far

James F.C. Hyde Sorgho Whiskey has a much longer history than Epec's inception would suggest.  In fact, the whiskey's name derives from a historical figure: James F.C. Hyde (1825-1898), a businessman and political leader in Massachusetts (Hyde would become Newton’s first Mayor) that also had a passion for botany and agriculture. In 1857, James published the definitive work, “The Chinese Sugar Cane”, on growing, harvesting and processing sorghum (then called sorgho). Today, sorghum is used as a gluten-free grain and a source of sugar in the US.  


Epec began researching the potential of sweet sorghum through our investment in strategic supply chain partner Delta BioRenewables in 2012. We were attracted to its “miracle-like” properties and unlimited potential as a new American cash crop.  Why do we say “miracle-like”?  Because, unique to sorghum, the plant produces an abundance of grain — like corn — and an abundance of sugar — like sugar cane — yet it can grow in places neither can.  Our original research was on sorghum’s viability as a biofuel.  Around 2013, we shifted gears and began researching sorghum’s suitability for producing a fine whiskey.  Needless to say, we were extremely excited about the quality and uniqueness of the whiskey we could produce.


Fast-forward to today, and with the help of 21st-century copper-pot distillation and Master Distiller Brant Braue, Epec has built upon James F.C. Hyde's legacy and created an American whiskey like no other. After fermenting and distilling sorghum, we age it like a fine bourbon in new, small, charred American oak barrels at 125 proof or less. This creates a unique whiskey (that “Whiskey Wash” rated 5 of 5 best in class) with uncanny smoothness that's paired with an appealing and unique set of aroma and flavor notes.

While uncommon in US spirits, sorghum has a long history in alcohol distillation because it has a long history as an ancient global cereal grain that extends back for at least 5,000 years. In fact, sorghum has been used by the Chinese for five millennia in the production of Baijiu, a popular Chinese spirit. 


Global Baijiu sales in 2014 accounted for nearly 1.2 billion 9-liter cases annually and nearly $80 billion, making it by far the most popular and valuable spirit in the world according to IWSR. Convertible Note Terms

This convertible note offers you the right to receive shares in EPEC Holdings, Inc. upon the occurrence of certain events. The number of shares you may receive in the future will be determined at the next equity round in which the Company raises at least $1,000,000 in qualified equity financing. 

If you invest during the first 30 days, the highest conversion price per share is set based on a $3,850,000 Valuation Cap or if less, then you will receive the price the new investors are purchasing equity.  

If you invest after the first 30 days, the highest conversion price per share is set based on a $4,812,500 Valuation Cap or if less, then you will receive the price at which the new investors are purchasing equity.

You also receive 3% interest per year added to your investment. When the maturity date is reached, if the note has not converted yet, then the notes convert into CF Shadow Series Stock at a predetermined price that equals valuation cap of your Note divided by 103,085,609.

The 10% Bonus for StartEngine Shareholders (This bonus period is concluded as of 3:30PM PT on January 4, 2018)

Epec Holdings, Inc. will offer a 10% bonus on the annual interest rate for all investments that are committed by StartEngine Crowdfunding Inc. shareholders (with ≥ $1,000 invested in the StartEngine Reg A+ campaign) within 24 hours of this offering going live.

StartEngine shareholders who have invested $1,000+ in the StartEngine Reg A+ campaign will receive a 10% increase in the annual interest rate on Convertible Promissory Notes in this Offering if they invest within a 24-hour window of their campaign launch date.  For example, if invest in the first 24 hours, your annual interest rate will be 3.3% instead of 3%.

In a transaction in which Epec Holdings, Inc. ("EPEC") acquired the outstanding shares of Jersey Artisan Distilling ("JAD"), JAD is now a wholly owned subsidiary of EPEC.  The transaction sets the stage for EPEC to cement its foundation by uniting its James FC Hyde Sorgho Whiskey brand, with the distillery that produces it.

"We're thrilled to finally have the JAD acquisition in our rear view mirror.  It was a critical goal for 2018 setting the stage for a new beginning, uniting us as one seamless operating organization", said Steve Vanechanos, Executive Chairman Epec Holdings, Inc.  "Because our goal is to build a national brand, expect to see in the near future: 1) the James FC Hyde brand assigned to Jersey Artisan Distilling; and 2) Jersey Artisan Distilling to undergo a more "national" like name change", continued Vanechanos.

The James FC Hyde Sorgho Whiskey train is leaving the station today one way or the other.  Either we will raise the $27,350 we need to get to our maximum raise limit of $308,000, or the clock will strike midnight PDT. We're still hopeful we can achieve our maximum before the end of the day.

There are certain specific potential investors we're reaching out to with this final day appeal:

We're now entering the final hours of our second successful equity crowd funding campaign in less than a year.  We launched at Wefunder in July of 2017 and we'll be wrapping up at StartEngine tomorrow at midnight PDT.

Latest Order from SGW&S Lifts James FC Hyde Sorgho Whiskey 2018 Case Volume To New Annual Record

With today's most recent purchase order from Southern Glazer's Wine & Spirits of Nevada, we note that James FC Hyde Sorgho Whiskey 2018 volume to date is a new annual record.  That's right, with several days remaining in April, we've now surpassed full year 2017 shipments.

It would be irresponsible of us if we didn't also note the numbers aren't big yet (full year 2017 was 180 cases; 2018 volume to date is 183), but the path toward big numbers - which will drive our future valuation - is achieving and sustaining an exponential sales growth rate.  We, as a management team, are acutely aware that sales growth is our "Holy Grail" and are focused like a laser beam on putting James FC Hyde Sorgho Whiskey on a "hockey stick" growth trajectory.

With 2018 volume exceeding 2017 full year volume in April, it's fair to say we have achieved our desired "hockey stick" trajectory.  Next challenge is maintaining that trajectory.  Stay tuned.

James FC Hyde Sorgho Whiskey Begins Strategic Roll Out in Critical Las Vegas Market

In coordination with Southern Glazer's Wine and Spirits of Nevada, and our on the ground in Las Vegas spirit industry consultant, Stephanie Scott, we've begun execution of a strategic roll out plan in the critical Las Vegas market.   

The plan starts with the goal of "putting liquid to lips" - introducing as many people as we can, as quickly as we can, to James FC Hyde Sorgho Whiskey - by rolling out to three strategic on premise accounts: 1) A super high profile location inside the Wynn Las Vegas - a Michael Morton concept, La Cave; 2) Las Vegas's finest craft cocktail bar - Oak & Ivy; and 3) the world’s largest Race & Sports Book - The Westgate Las Vegas Resort & Casino.

Wynn Las Vegas is one of a string of luxurious resorts and casinos built by Steve Wynn.  Wynn has been the highest profile luxury developer of resorts and casinos in Las Vegas for nearly three decades starting in 1989 when he built The Mirage.  La Cave is one of three high profile Las Vegas restaurants operated by the Morton Group.   Entre into La Cave affords us the opportunity to gain immediate exposure for our "whiskey like no other" to a highly desirable clientele and an opportunity to potentially enter Morton Group's other restaurants.

Oak & Ivy is high end cocktail bar located in Las Vegas's "Downtown Container Park" which specializes in whiskey cocktails.  We believe it's a great opportunity for James FC Hyde Sorgho Whiskey to gain introduction to a whole new population of super premium craft whiskey drinkers.

Westgate Las Vegas Resort & Casino is "home to the world's largest Race & Sports Book".  We're optimistic sports and racing wagerer's will take kindly to our whiskey made from 100% American grown sorghum, possessing an uncanny smoothness, paired with a unique and pleasing set of flavor and aroma notes.

As our on premise accounts introduce more and more consumers to James FC Hyde Sorgho Whiskey in cocktail form, the plan anticipates the experience will increase demand for bottle sales.  Expect us to follow up with sales to off premise accounts (liquor stores).

When we launched our crowdfunding campaign on Jan 4th, our offering page made it crystal clear of the potential opportunity our new relationship with Southern Glazer's Wine & Spirits ("SGW&S") held.  Our offering page said, "SGW&S is the largest national distributor in the U.S., selling to 44 states and D.C...  Success in Nevada with SGW&S has the potential to expand our relationship into other states, a clear roadmap for taking James FC Hyde Sorgho Whiskey national."

Because of the potential that SGW&S in Nevada represented, we made it clear nurturing the SGW&S relationship was a priority.  In fact we said we would heap "special attention upon Nevada and our relationship with Southern Glazer’s Wine & Spirits (“SGW&S”) and to the strategic imperative of success there".

Given "the strategic imperative of success" with SGW&S, in mid February we recruited spirit industry veteran and life long Las Vegas resident, Stephanie Scott to represent us on the ground, and to work closely with SGW&S.

We're pleased to report, with SGW&S's most recent reorder, SGW&S has now placed three reorders since Stephanie Scott joined the team.  Each order, being successively larger than the previous.  As we've said before, it's too early to spike the ball.  There's a lot of work left to do in Nevada with SGW&S, but the early market action is very encouraging, offering us plenty of reason for optimism.  Stay tuned...

Epec - James FC Hyde Sorgho Whiskey is Awarded 2018 USCP Cooperative Branding Grant

We're pleased to announce, America's sorghum growers - represented by the United Sorghum Checkoff Program ("USCP") - continue to provide support to our effort to turn James FC Hyde Sorgho Whiskey into a national brand.   This time financially, by awarding us a 2018 Cooperative Branding Grant.

Under the Cooperative Branding Program, we co promote the use of sorghum as a key ingredient, by including USCP's approved logo ("SORGHUM: THE SMART CHOICE") on our labels, and signage.  In return, USCP awards annual grants to Cooperative Branding Partners

Qualifying this year was more challenging than usual because USCP changed its official logo.  We were required to change our art work to use the new logo, and seek approval once again.  We just received notice of approval and that we will be receiving the 2018 grant.

While we're not at liberty to disclose the size of the grant, it is a meaningful amount (measured in thousands not hundreds), but equally important is having America's sorghum growers line up behind our effort.  In what is likely another unique aspect of James FC Hyde Sorgho Whiskey, we're hard pressed to name another spirit company that has a national grower's association supporting it.

We've been cautioning investors and potential investors about the potentially distorting effect of us reporting shipments to distributors - especially true when we're working with a limited number of distributors. That's because shipments to distributors are very uneven stocking orders.  So one month a distributor might order 30 cases and then go two or three months in a row selling off that inventory to bars, restaurants and liquor stores - who in turn sell it to final demand consumers - before placing another order.

While 129 cases in 2018 vs zero in 2017 is an example of an uneven distortion, two things are indisputably true.  1) 129 is the highest case volume we've ever achieved; and 2) it occurred in a historically slow quarter for us (30 cases in 2016; zero in 2017; yet now 129).

Two things have changed since July 2017, when we launched our first crowdfunding campaign at Wefunder, which have convinced us that reporting this data now adds more transparency than potential confusion: 1)  we've added two distributors who are contributing meaningful growth volume and are naturally smoothing out our actual order flow; and 2) we've developed a statistical measure (rolling twelve month total) that adds an additional layer of "smoothing" to the irregular order patterns from distributors (see chart above).

Our mission is clear, drive exponential (aka "hockey stick") sales growth; by growing the number of distributors distributing James FC Hyde Sorgho Whiskey; helping distributors grow the number of liquor stores, bars and restaurants that are offering it; and lastly to grow brand recognition and final demand among consumers.  If we can continue to achieve those things, the "hockey stick" will take care of itself.

In An Important Milestone, Epec - James FC Hyde Sorgho Whiskey Acquires 30% of Jersey Artisan Distilling

In May of 2017, Epec Holdings, Inc (owner of James FC Hyde Sorgho Whiskey) entered into a binding letter of intent to acquire 100% of Jersey Artisan Distilling ("JAD").  When discussing our 2018 goals on our Startengine offering page, we stated, "Our first goal is to complete the acquisition of Jersey Artisan Distilling, thereby uniting the James FC Hyde Sorgho Brand with the distillery that is producing it and seamlessly integrating and gaining control of a critical vendor and strategic asset."

In an important interim milestone, Epec has acquired approximately 30% of JAD.  By doing so, Epec acquires certain legal authority to navigate the difficult and complex federal and state regulatory process (alcohol being a "controlled substance").  By acquiring authority to navigate the regulatory labyrinth, Epec anticipates it can acquire the remaining 70% of JAD within 45 days, to complete the acquisition.

In addition, by adding a 30% equity interest in JAD, to Epec Holding's material equity interest in Delta BioRenewables - the Memphis based sorghum operation - Epec has completed  the "from farm to table" integrated supply chain.  Sorghum seeds going in the ground in Memphis, with bottles of James FC Hyde Sorgho Whiskey produced in Fairfield, NJ.

Epec - James FC Hyde Sprgho Whiskey Extends Offering Through April 30th

Startengine circulated a brief update last night announcing "Epec Holdings, Inc. is extending their campaign."

We're firm believers in transparency, and it demands we provide more insight than a terse sentence to investors and potential investors.

It was always our intention to remain in campaign mode until we either reached our funding limit of $308K or the calendar turned to May 1, 2018.  Despite our intention, our campaign was inadvertently launched with only a 90 day duration - which would have terminated on April 3rd.  So to make things right, we were required to file an amendment to our initial Form C - an amendment the SEC considers "material".  Thus the requisite update from Startengine last night.

One of the unique attributes of equity crowdfunding and heretofore unprecedented in "public offerings" (meaning an offering open to the public), a company is able to list its 1 year business plan's goals and objectives, and then execute against them in plain sight.  The longer we remain in campaign mode, the more time we have to deliver against plan.   The more we accomplish the more risk we mitigate, the more valuable we become.  We're optimistic the next 5 - 6 weeks will be productive.  Stay tuned.

We're thrilled to have received our third purchase order from Seabourn.  Seabourn might be the most luxurious cruise operator in the world.  We pride ourselves in being "a whiskey like no other", while ironically, Seabourn says "Cruising on a Seabourn ship is unlike any other form of travel."  Seems like a perfect fit to us.

A little bit of history.  Our first order from Seabourn was included on the maiden voyage of Encore - its most advanced ship to date - as a test market.  Our second purchase order from Seabourn, following a successful test market aboard Seabourn Encore, was to deploy across the remaining Seabourn fleet: - Seabourn Ovation, Seabourn Quest, Seabourn Sojourn, and Seabourn Odyssey.

We are thrilled and flattered that the spirits geniuses at Southern Glazers Wine and Spirits have  developed a new cocktail recipe, specifically balanced for James FC Hyde Sorgho Whiskey and its unique and pleasing flavor and aroma notes.

Epec - James FC Hyde Enters Final Week of Its Early Bird Bonus; Valuation Cap to Increase 25% on Sat Feb 3rd

When we launched our StartEngine campaign on January 3rd, we opted to offer investors an Early Bird Bonus, for the first 30 days of our campaign.  The bonus amounted to lower valuation cap being offered to investors during this period.  The valuation cap in effect for investors who invest through Friday Feb 2nd, is $3.85 million (see the Terms Tab on our startengine Offering page for details of the offering).  Investors who invest on Feb 3rd and beyond will be investing with a valuation cap of $4.8125 million (25% higher).

Sorgho Whiskey Sales Momentum Accelerates in Kansas Market

When introducing and marketing a new whiskey in the U.S., Kansas (population under 3 million, #34 in U.S.) is not the market that jumps out as an obvious strategic target.  Big market states like New York, California, Texas & Florida immediately come to mind as obvious high priority market opportunities.  Even Tennessee (home to Jack Daniels, the Lincoln County Process, and Tennessee Whiskey) and Kentucky (the bourbon capital of the world) often make strategic sense.  

But when your new whiskey is a sorghum whiskey - like James FC Hyde Sorgho Whiskey - it pays to notice that Kansas, while #34 on the population list, is #1 in U.S. sorghum production.  Two key facts standout that tell the real story of sorghum and Kansas.  In 2016 Kansas harvested over 3 million acres of sorghum,making it the only state in the U.S. with more sorghum acres than people.  And Kansas was responsible for over 40% of U.S. production in 2016.

Needless to say, when introducing a sorghum whiskey to Kansans, the question, "What is sorghum?" is not a common response.  It's more like, "What took so long for someone to make a sorghum whiskey?"

Our sales and growth rate in Kansas mirror those facts.  We entered the market in August of 2017 with our first distributor shipment. We shipped an initial stocking order and several replenishment orders in 2017.  In the first month of 2018, we received our largest replenishment order to date and our 2018 case volume to Kansas already exceeds our volume for all of 2017.  When we entered the market in August of 2017 we had zero Points of Distribution ("POD").  Today we have nearly sixty liquor stores throughout Kansas offering James FC Hyde Sorgho Whiskey.  Based on our analysis we believe we've penetrated about 20% - 25% of Kansas liquor stores, leaving us substantial room for continuing growth.

Epec - James FC Hyde To Invest Excise Tax Reduction In Cooperation With Its Distribution Partners

As we stated earlier, the recent tax reform act dramatically reduced the federal excise tax on craft spirits such that the tax on James FC Hyde Sorgho Whiskey was reduced from $2.30 to $0.46 per 750ml bottle.  Resulting in a direct production cost reduction of $1.84 per bottle.

Placing the highest priority on boosting sales and strengthening our distribution channel, we have decided to pass along the entire savings - and then some - to our marketing and sales distribution partners.  We are committed to working with our distribution partners to determine how best to invest the freed up capital in their market, whether straight price reductions to retailers, special incentives (i.e. volume discounts), freight subsidies for sales outside of NJ or marketing and promotional material like coasters, napkin holders, napkins, shelf talkers, etc.

Whatever we collectively decide to do with our distribution partners, one thing should be clear.  We have decided our best interest will not be served by hoarding the tax savings, but investing it in conjunction with our distribution partners with the clear intention of positively impacting the market dynamics for James FC Hyde Sorgho Whiskey. 

Craft Beverage Modernization & Tax Reform Act - "largest legislative victory" in History of Craft Spirits Industry

While many provisions of the Tax Reform Act signed into law by President Trump on December 22, 2017 have been widely covered, one provision of the law, which is of incredible importance to craft distillers (distillers producing under 100,000 gallons per year), has gone largely unnoticed.  The new law, eases an enormous financial burden placed upon craft distillers, via a huge reduction of 80%, in an excise tax on production (not profits).   

The tax, which was $13.50 per 100 proof gallon, has been reduced to $2.70 for craft distillers.  To Epec - James FC Hyde Sorgho Whiskey, bottled at 86 proof, it means, as of Jan 1, our per bottle excise tax is reduced from $2.30 to $.46, affording us a production cost savings of $1.84 per bottle.  The reduction in the tax frees up capital, that formerly went to the US Treasury, for things like additional inventory buildup, additional marketing and sales investments, additional production equipment, and potential customer savings in the form of price reductions.

Whatever we decide to do with the savings, one thing is certain, the degree of difficulty in building a craft brand from scratch has gotten less difficult.  For that we applaud the wisdom of the bipartisan, "Craft Beverage Modernization" provision which recognizes helping craft distillers become big profitable distillers, and then collecting the $13.50 per gallon and taxes on profits, serves the interest of the US Treasury, craft distillers, their employees, customers, owners and vendors.
