Reasons to Invest

  • We have created one of the first pairs of skis / snowboards instrumented with digital, electronics & metallurgical technology to change physical performance characteristics on demand.
  •  The global ski gear and equipment market was valued at around $1.22 billion U.S. dollars in 2018, and was forecast to reach about $1.74 billion U.S. dollars by 2028 (source).
  • Led by an experienced team with previous exits and deep industry knowledge.

Overview

Cutting edge skis and snowboards

Verispellis aims to revolutionize ski and snowboard technology - using digital, electronics, and metallurgical technology.

*The above is a rendering of a future product. Images are demo versions. Product is still currently under development not yet available on the market.

It all began when two Boston area medical professionals joined forces to explore the possibility of applying shape memory alloys - a cutting-edge material used in medical devices (source) - to ski and snowboard technology.

*The above is a rendering of a future product. Images are demo versions. Product is still currently under development not yet available on the market.

Also known as Nitinol, this material helped to create a pair of our “shape-shifting” skis and snowboards. Because of its flexible properties and basic structure on a molecular level - Nitinol can respond to changes in temperature. Perfect for something often so unpredictable like snow and weather.

With this, we think Verispellis may be the most innovative concept since shaped skis were developed in the late 80’s early 90’s (source).

*The above is a rendering of a future product. Images are demo versions. Product is still currently under development not yet available on the market.

The Problem

Ski technology has changed very little over the past few decades

Weather conditions change hourly and in this day and age, we think skis should be made to adapt to these conditions.

We feel we will bring skiing and snowboarding into the twenty-first century. Not only by incorporating this cutting-edge material, but going even further by connecting them to smartphones.

The Solution

Introducing a paradigm shift in snow sports

We believe Verispellis will bring innovation to the winter sports market by offering skis with variable torsional stiffness and rocker, plus added vibration control – all from the tips of one’s fingers.

*The above graphic contains images of our beta app which is currently not available for general use.

Here are the specs behind our game-changing  technology:

  • Instrumented with digital, electronic, & metallurgical technology to change physical performance characteristics on demand
  • Ability to control skis and/or snowboard characteristics via any smartphone
  • IoT component to connect skis and/or snowboard to the internet
  • Built in sensors to provide live skiing / boarding performance data to user
  • Ability to collect data lake on ski performance, mountain/trail conditions, and weather for analytics and future monetization
  • Ability to digitally customize ski mechanics to match user ability and performance demands

These shape memory alloys change the physical properties of skis and snowboards on demand -  all via a smartphone app.

*The above graphic contains images of our beta app which is currently not available for general use and a rendering of a future product. Images are demo versions. Product is still currently under development not yet available on the market.

That means the skier or boarder can adjust the stiffness of their ski or snowboard based on changes in the snow condition or type. By inserting Nitinol in key locations of the ski or snowboard, and modulating the stiffness of the Nitinol sheets via a Bluetooth connection and mobile application - the entire performance of the ski or snowboard can be changed in a matter of seconds.

We do this by utilizing the Internet of Things (IoT) capability through inclusion of sensors to collect live usage data.

*The above is a rendering of a future product. Images are computer generated demo versions. Product is still currently under development not yet available on the market.

We will use a royalty-based business model from top 3 manufacturers, as winter sports are our initial market focus. That means...

  • Limited engineering professional services
  • Low capital requirements

The Market

Skiing is trending upward

The global ski gear and equipment market was valued at around $1.22 billion U.S. dollars in 2018, and was forecast to reach about $1.74 billion U.S. dollars by 2028 (source).

Not to mention…

  • Alpine Touring Backcountry is experiencing significant growth (source)
  • There is a 75% Growth in Pass Sales at Vail Resorts from  2021 to 2022 (source)

We believe we will have a first mover advantage in incorporating this level of technology into winter sports, so you could say we think we are miles ahead in the competition.

Our Traction

Let's get ready for the 2022/23 ski season

Our current Active Control System version and prototype skis are mature enough to complete industrialization to be commercially ready for the next ski season.

Here’s how we got here:

We already have collaborations in place, and are working to partner with one major ski/snowboard brand for co-development.

So far, people are raving about our skis:

**Tim Petrick & Arman Serebrakian are paid-partners of Verispellis

Why Invest

We think snow sports technology is about to make significant strides

And we anticipate being a part of that change.

Our vision is to have an exit strategy through sales/licensing, making our technology available through major brands in the industry.

Until then, we plan on using this raise towards the development of consumer-ready products, our marketing campaigns, industry demos, and cultivating industry relationships.

*The above graphic contains images of our beta app which is currently not available for general use and a rendering of a future product. Images are demo versions. Product is still currently under development not yet available on the market.

We are experiencing a renewed interest in snow sports, where people are rushing back to the mountains (source, source) - join us as we align with this renewal and bring a technology-enhanced product to the market.

Invest in Veripellis, and invest in the potential future of winter sports.

Hello, Im just waiting the process to go thru and hopefully get 59 shares. Reading the brochure, are you going to make your own skis and/or sell/lease the technology to other ski manufacturers? How easy will it for them to install your tech on their skis? Would like some clarification on that. Do the skis change in real time or does the user determine before the run what the skis does in terms of stiffness? Have you done work on snowboards, only see skis? I would be very happy to try a pair if you need more testing done, LOL! I'm pretty sure I will buy a pair when they come out!!! Wishing you success, Nicolae

This is really interesting ski tech. Looking at your bios, I don't see where there is anyone involved with the company who has ski or snowboard design/manufacturing experience. Established ski manufacturers have R&D, which you appear to have, but not the experience. Am I missing something? Can you please explain how Verispellis would address this? Also, what are your plans for manufacturing? Outsourcing with a US partner? A European partner? Other?

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. Investing in private company securities is not suitable for all investors. An investment in private company securities is highly speculative and involves a high degree of risk. It should only be considered a long-term investment. You must be prepared to withstand a total loss of your investment. Private company securities are also highly illiquid, and there is no guarantee that a market will develop for such securities. Each investment also carries its own specific risks, and you should complete your own independent due diligence regarding the investment. SE BB is distinct and separate from StartEngine Secondary (“SE Secondary”), which is an SEC-registered Alternative Trading System (ATS) operated by SE Primary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. While a security may be displayed on the bulletin board, these securities will be subject to certain restrictions which may prevent the ability to buy and sell these securities in a timely manner, if at all. Even if a security is qualified to be displayed on the bulletin board, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained.
