REASONS TO INVEST

Compared to Maui Brew & Kona Brew, two of Hawai’i’s largest breweries, Ola Brew grew faster than both over our respective first 5 years of operations, with revenues to date of $27M & over $8.2M in 2022 alone.

Our spirit, Ola ʻŌkolehao, has won 13 international awards including Hawai’i Distillery of the year for 2023, and most notably Best In Class and Double Gold in the San Francisco World Spirits Competition!

Our spirits compete with Tequila/Mezcal and are made from a plant cousin to agave, but it grows 5 times as fast in Hawai'i. Agave-based spirits, including tequila, are the fastest growing category in the US.

Join our Ola Ohana

Since 2016, CROWDFUNDING has been woven into the DNA and foundation of Ola Brew.  As a way to uplift our community and build a more circular economy, we prioritize creating equal investment opportunities for EVERYONE.

Ola Brew was amongst the FIRST breweries to crowdfund in the US. Our initial crowdfunding campaign successfully closed in May of 2017, just 5 months before our brewery opened in Kailua Kona, HI.

Ola Brew has raised over $3M through crowdfunding. We currently share our successes with over 2800 community and employee owners that motivate us to continue innovating and pushing the boundaries of the brewing and spirits industry.

From Farm to Glass: Ōkolehao, the Next Rising Star in Distilled Spirits

*The above is a rendering of a future product. Images are computer generated demo versions. Product is still currently under development and is not yet available on the market.

The largest segment of alcohol sales in the US is now Distilled Spirits after 13 years of consecutive growth. In 2022, revenues in the US from agave-based spirits, which include tequila - grew over 17%, outpacing every other category. (Source)

Interestingly enough…the spirit we make is distilled from a plant cousin to Agavé.

It’s called ‘Ōkolehao and it’s made from the root of the ki plant. On our 40 acre oceanfront farm, we’ve already planted over 16,000 ki and are now planting 10,000 per month. Compared to agave which can take up to 6 years to mature, we harvest a commercially viable crop in less than a year!

THE opportunity

Why Ola?

Ola Brew’s Mission has always been to support the growth of Hawai’i’s agricultural economy. With our current product offerings we have sourced over $1.8M in Hawai’i grown agriculture since we opened our brewery in December of 2017.

As we grow, we aim to build our legacy by creating a demand for potentially the largest agricultural crop in Hawai’i by bringing our award-winning distilled spirit, Ola ‘Ōkolehao to the world stage.

Our spirit is winning awards internationally along-side premium tequilas in the most prestigious competitions. With ultra premium tequila revenues on the rise, and mezcals not far behind, the other agave spirits category is primed for innovation.

‘Ōkolehao is distilled from a plant cousin to agave that not only has cultural significance in Hawai’i, but also grows five times as fast and organically. But what does it taste like? You guessed it!  A premium tequila! and with over 800 unique varietals of ki and numerous aging and distillation techniques, the flavor possibilities are endless.

Aloha, I have one quick question for you. When the distillery opens up how will I obtain the bottle that is a part of the perk in person? Will you scan the investor card, do I provide the email address for my StartEngine’s account, or will you scan the investor card and need to be provided the email address? Thank you

Aloha! I had previously invested in Ola Brew (this round). After just returning from a trip to Kauai and drinking lots of Ola, I am thinking of increasing my investment. I was at the Bronze level, if I invest enough to put the total of both investments over $5000, would I be considered Silver? Mahalo!

Aloha - I invested through StartEngine a few weeks ago, but it still says "Funds Approved" and hasn't moved into the invested stage. StartEngine says their waiting on Ola to sweep the funds in and so was wondering how often you did that. Mahalo

Good morning, as a potential investor I have a few questions. 1) what is your ROI? 2) do you have any plans on adding a second location? 3) how are you able to distribute you product outside of Hawaii? Do you use another companies major distribution network like Coors or Budweiser? 4) how will you send out the discount card to those outside of Hawaii and have you considered making it a digital one? For example something I can download and add to apple wallet.

Your info is your info. We take pride in keeping it that way!

DIVERSE INVESTMENTS

Invest in over 200 start-ups and collectibles!

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. To learn more about Regulation Crowdfunding, click here, and for Regulation A+, click here.

Investing in private company securities is not suitable for all investors. An investment in private company securities is highly speculative and involves a high degree of risk. It should only be considered a long-term investment. You must be prepared to withstand a total loss of your investment. Private company securities are also highly illiquid, and there is no guarantee that a market will develop for such securities. Each investment also carries its own specific risks, and you should complete your own independent due diligence regarding the investment. As a bulletin board platform, SE BB provides a venue for investors to access information about private company offerings and connect with potential sellers. SE BB is distinct and separate from StartEngine Secondary (“SE Secondary”), which is an SEC-registered Alternative Trading System (ATS) operated by SE Primary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. While a security may be displayed on the bulletin board, these securities will be subject to certain restrictions which may prevent the ability to buy and sell these securities in a timely manner, if at all.
