Overview

Transforming the Way the World Learns Music

Sharing the experience of playing music is like nothing else - it’s magic.

That’s why we provide an experience that combines superior technology with vetted experts that teach live music lessons to students of all ages, genres, and skill levels.

gif

This means any instrument, any place and any time - without fear of safety and privacy issues like other online educational platforms.

LIve Music Tutor was built for music education and music therapy, having many features geared to make an ideal virtual environment for musicians. We believe to be pioneers in providing the space and opportunity for virtual rehearsals and performances.

The Problem

The Online Music Education Space is Fragmented

We target a fundamental problem when it comes to all elements of education: Funding.

And music education is a space that definitely lacks it. The problems range from...

  • A decline in K-12 schools offering music programming

  • An increasing cost of private music lessons

  • Challenges in qualification and matching of local music teachers with students are all barriers.

  • Geographic challenges to connect music teachers and students in different locations are eliminated.

LMT provides a positive solution to the lack of funding for the ESSA law - in which music is included in a well rounded education, like other core courses. We supplement school districts current curriculums by providing master and individual classes in public schools using our proven technology.

The Solution

Live Music Tutor: A Public Benefit Corporation

LMT platform is a proprietary technology and software that provides a convenient, safe and affordable way to implement a music program without the capital expenses and overhead associated with traditional music programs.

With our virtual music lessons, we...

  • Provide a 2-sided solution to the consumer and institutions (schools, government, military, etc.)

  • Deliver private and group lessons or master classes via a custom technology platform.

  • Cater to all school markets including charter schools, homeschoolers, public schools, parochial schools etc.

  • Engage with the Veterans Administration.

  • Grant access to a quality music education to all communities regardless of geographic location.

  • Offer retail products that include instruments for rent or purchase as well as accessories.

The Market

We’ve Learned  There is Huge Market Potential

Our estimate for the LMT education market opportunity is $3.9 billion.

This is partly because…

  • Zion Market Research expects the global private tutoring market to grow to $174 billion by 2026 at 7.1% growth.

  • Orbis Research expects the global e-learning market to grow to $275 billion by 2022 at 7.5% growth.

Not to mention - approximately 30 million youth globally take music lessons. And out of approximately 14,000 school districts in the US...

  • 80% have cut funds for music programs since 2008.

  • Every Student Succeeds Act (ESSA) passed in December 2015, puts music back in schools as part of a well-rounded education like math and science.

So along with this estimation, our current active markets are widespread:

  • Music Education

  • Schools, After School programs

  • Music Therapy

  • Veterans Administration (Total Wellness)

  • Prisons

Our Traction

We’ve Been Working Hard on our Platform Since 2012

Here’s a brief history lesson:

So far, we have generated approximately $1 million in proof of concept revenues. And we’ve built quite the following with that.

Community:

  • 221 counties of K-12 schools, government, active adult communities

  • Over 2000 Music Instructors and credentialed therapists

  • Engagement with over 60 school districts and approximately 400 more in the pipeline

Key Partners:

  • Grammy Education Coalition, (NAMM) National Association of Music

  • Merchants, 1100 Colleges/Universities, and many more

Awards/Recognition:

  • Florida Alliance for Arts Education (FAAE) 2018 Business Leadership State Award

  • HDI Global/Austin Chamber Tech and Innovation Award 2018

  • NYT and VA magazine and other media outlets

What We Do

Built for Education, Designed and Proven for Music

LMT software provides a convenient, safe and affordable way to implement a virtual music program in various spaces.

We believe to have developed a technology far superior to any of the conference calling technologies in the marketplace today, as our system both allows you to bring in your own experts, or use ours.

LMT is built for schools and other organizations where learning is more important and just a face-to-face virtual meeting. And, it’s pretty easy to use:

  • Once a student has registered, they can schedule any available lesson(s) simply by clicking on the desired lesson and paying the lesson fee

  • Both individual lessons as well as group lessons are offered. Individual lessons provide the most individualized attention between the student and the instructor, while group lessons are based on age and experience level.

  • All lessons are delivered online via video technology designed and delivered by LiveMusicTutor.com.

  • We design a curriculum to help students develop their potential and achieve their music goals. This curriculum acts as a guide for our instructors to help students meet these goals while allowing them the flexibility to tailor their instruction to the level and needs of individual students.

The Business Model

Models that Works for You

LMT has two different models, catering to different needs.

Our Base Model is currently preferred by many of our current schools, music stores and similar entities. This model includes limited customization, vetted instructors, scheduling services, additional support and IT services.

The SAAS Model is a turnkey solution created as a subscription-based model

for entities that prefer our superior technology and the white labeled solution to enhance their online needs. This model is customized to cater to a client's specific demands for brand, terminology, logos, URLs, security, privacy and other IT needs.

Within that range, we generate money via:

  1. Private Music lessons

  2. K-12 schools (Traditional, Charter, Virtual and Homeschool programs)

  3. Summer Programs

  4. Special events (For professional musicians and venues)

  5. Pay per view events for mass audiences and performances

  6. Subscription Models for those who want to license the classroom

  7. White label the technology for any business, group or entity.

Two questions: 1) Would like to hear an explanation on why the CEO Ted Gee is taking a $200k a year salary when revenue is only $160k/year. 2) Why do your documents use COVID as an explanation for YOY revenue drops when every other online forum saw huge growth during the pandemic. If Live Music Tutor cannot gain market share when every school globally shifted to online learning, how can we expect you to hit future growth projections?

DIVERSE INVESTMENTS

Invest in over 200 start-ups and collectibles!

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. To learn more about Regulation Crowdfunding, click here, and for Regulation A+, click here.

The availability of company information does not indicate that the company has endorsed, supports, or otherwise participates with StartEngine.

None of the information displayed on or downloadable from www.startengine.com (the 'Website') represents a recommendation, offer, or solicitation of an offer to buy or sell any security. All investment opportunities are based on indicated interest from sellers and will need to be confirmed.

Investing in private company securities is not suitable for all investors. An investment in private company securities is highly speculative and involves a high degree of risk. It should only be considered a long-term investment. You must be prepared to withstand a total loss of your investment. Private company securities are also highly illiquid, and there is no guarantee that a market will develop for such securities. Each investment also carries its own specific risks, and you should complete your own independent due diligence regarding the investment. This includes obtaining additional information about the company, opinions, financial projections, and legal or other investment advice. Accordingly, investing in private company securities is appropriate only for those investors who can tolerate a high degree of risk and do not require a liquid investment.

StartEngine Marketplace (“SE Marketplace”) is a website operated by StartEngine Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC. StartEngine Bulletin Board ("SE BB") is a bulletin board platform that advertises interest in shares of private companies that previously executed Reg CF or Reg A offerings. SE BB enables shareholders to communicate interest in potential sales of shares in private companies and investors to discover, review, and potentially invest in private companies. As a bulletin board platform, SE BB provides a venue for investors to access information about private company offerings and connect with potential sellers. SE BB is distinct and separate from StartEngine Secondary (“SE Secondary”), which is an SEC-registered Alternative Trading System (ATS) operated by SE Primary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. While a security may be displayed on the bulletin board, these securities will be subject to certain restrictions which may prevent the ability to buy and sell these securities in a timely manner, if at all. Even if a security is qualified to be displayed on the bulletin board, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
