It's been a long six months - but we've made some great progress, welcomed thousands of awesome new investors, signed up numerous new clients, created dozens of new American jobs, put new crime fighting wins on the board, pulled in $10 million of new financing we announced earlier, and now we are over the $20 million mark for this offering. 😅

The announcement below will be going out on the wire this morning and we couldn't be more excited! As you'll recall as part of this $25 million financing that closes tonight at 11:59pm PDT, we had noted in the Use of Proceeds section of the Offering Circular approximately $9 million of the funds were to be set aside for funding new machines-in-network. Knightscope has partnered with Dimension Funding to enable clients to finance their Autonomous Security Robot (ASR) subscription agreements. The program has been established to provide Knightscope clients with subscription financing alternatives of up to $10 million in the first 12 to 24 months.
Since 1978, Dimension Funding has built and maintained a solid track record and reputation as a trusted source for capital for U.S. and Canadian business owners, entrepreneurs and professionals to help grow their businesses. They specialize in working with equipment, software and technology vendors, providing innovative and flexible financing to their clients. They fund, on average, $50 million per year in vendor financing.

MOUNTAIN VIEW, CA – April 20, 2021 – Knightscope, Inc., a developer of advanced physical security technologies utilizing fully autonomous robots focused on enhancing U.S. security operations, announced today the addition of Robert Mocny to its federal government advisory board.
Robert A Mocny is a Venture Partner in the Technology Group at RIDGE-LANE Limited Partners.
Mr. Mocny previously served as Deputy Director, Technology and Innovation at U.S. Federal Protective Service (FPS) within U.S. Department of Homeland Security (DHS), where he was responsible for technology, acquisition, and IT policy related to its cyber-physical mission.
Prior, he was Director of the US-VISIT Program and led development of DHS’ biometric identity program. Mr. Mocny was assigned to the DHS Office of Policy, where he performed the duties of Deputy Assistant Secretary and established the inaugural Five Country Ministerial for the Secretary of Homeland Security.
He led the Information Sharing Policy Office within the Office of Policy and was responsible for developing policies governing how DHS enters into international information sharing agreements; establishing an international information sharing architecture; and negotiating agreements and arrangements with international partners.
Mr. Mocny served in senior positions within Immigration and Naturalization Service (INS), including Director of the Entry/Exit Project, acting Assistant Commissioner for Inspections, and Special Assistant to the Deputy Commissioner. While at INS, he led an interagency project team that established the Secure Electronic Network for Traveler’s Rapid Inspection (SENTRI) Program.
Mr. Mocny is a graduate of the University of California. He has received numerous awards throughout his career, including a team Hammer Award from former U.S. Vice President Al Gore for the SENTRI program and the Smithsonian’s Computer World award for the innovative use of information technology.

Is anyone getting tired of hearing that Knightscope has deployed another robot at another Southern California casino? WE’RE NOT! This beautiful security robot received “white-glove” packaging and will be delivered to its new home this week. It will be part of the initial guest experience as it patrols the grand lobby keeping everyone safe and happy as they prepare to hit the tables and slot machines.
One of the most important things for startups to do is "ship". We are literally doing that (with a fancy modular crate) changing the world one robot at a time.

As of this past week, there are 16 states and the District of Columbia that have legalized recreational use of cannabis, and 19 states that allow its use for medicinal purposes. Because the banking system does not yet fully support a business operating in this space, however, many cannabis retailers have large amounts of cash on hand.
According to the Wharton School of Business Public Policy Initiative, “in the absence of being banked, one in every two cannabis dispensaries were robbed or burglarized – with the average thief walking away with anywhere from $20,000 to $50,000 in a single theft.”
One California cannabis cultivation distribution and retail organization signed a contract for SIX (6) K1s to be prominently featured at the main entrance of several of its facilities. In addition to their roles in security, these K1s will be deployed equipped with Knightscope’s new Elevated Body Temperature (EBT) detection feature to support California’s commitment to curtailing the spread of COVID-19.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.
At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.
Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.
Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.
Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
