Pioneering the Future With Augmented Reality (AR)

Gravity Jack was born out of one mission — creating the Future Experience™.

Specializing in mobile apps, augmented reality (AR), virtual reality (VR), Web3 services, and more, we believe Gravity Jack has been integral in creating a world where technology and the human experience seamlessly connect. We are an intimate team of visionaries, mad scientists, engineers, designers, and marketers with a genuine passion for tech, people, and the intersection of the two. According to our research, Gravity Jack is one of the first and oldest American-based agencies to offer AR development as a service. While our current client lists range from Fortune 500 companies, independent agencies, and even the U.S. Department of Defense, we create experiences for everyday people and powerful products for them to enjoy.

Our next anticipated project, WarTribe of Binyamin is a mobile game that pits all of humanity against a real AI villain, integrating augmented reality and AI in a way never seen before. We believe this game has the potential to build a cross-border community, uses funds from strong economies to directly uplift weaker economies, and automatically pays shareholder dividends out of in-game revenue on a monthly basis.* We expect the potential in-game revenue to fund the development of a unique Natural Language Processor that can use crowdsourced datasets to translate over 7,100 languages that otherwise may not be available through standard translation services. While still in the early stages, this mechanism could effectively reverse some of the struggles associated with poverty by removing international language barriers and providing new opportunities to over 4.5 billion people – all through WarTribe of Binyamin’s anticipated interactive gameplay.

*Pursuant to the Company's Board Resolution, dated March 3, 2023, with respect to the anticipated game "War Tribe of Binyamin," the Company shall distribute dividends equal to 10% of the game revenue after deducting App Store fees to all shareholders of record as of the dividend distribution date. Please see Exhibit F of the Company's Offering Memorandum for a complete list of dividend rights associated with the Company's securities.

The Problem & Our Solution

Developing Digital Solutions for
Real-World Problems

Other leading augmented reality (AR) technology and games have fallen short of their potential, offering gimmicky and glitch-ridden experiences that do not fully harness the transformative capabilities of the technology. Lackluster AR gaming apps suffer from inconsistent user experiences and predatorily addictive designs and game mechanics that prioritize individual spending and treadmill gameplay at the expense of broader societal and economic progress. This leads to wasted time, a fragmented user base, and limited mass adoption of AR. We believe Gravity Jack identifies a pressing need to redirect gamers' time investment towards a mechanism that enriches both the global economy and individual players, transcending momentary entertainment addiction. The company's vision is to bridge the gap between meaningful social impact and captivating gaming, fostering commitment and substantial influence over myopic indulgence.

*The above graphic includes a description of anticipated features in the Company's expected project, "WarTribe of Binyamin," which is currently in development and not available for use.

We believe Gravity Jack is pioneering a groundbreaking financial model by converging three key industries within gaming. Additionally, the company strives to address the remaining challenge of language barriers through ownership of AI language models for the 7,100 languages that currently aren’t offered by other companies, establishing an AI-driven translation engine that monopolizes an unprecedented language library. This endeavor can utilize play-to-earn crowd-sourced Machine Learning (ML) datasets that would otherwise be economically unfeasible, potentially facilitating the translation of every language on Earth, while offering cross-platform, cross-genre accessibility.

*The above graphic contains (1) images of our beta app, which is currently not available for use, and (2) anticipated features of the app's associated translation capabilities.

We believe WarTribe of Binyamin, rooted in cornerstone technologies developed by Gravity Jack over the past fifteen years, represents a genre-bending game that embodies the company's innovation and scientific methodology. This ambitious undertaking aims to empower shareholders through monthly dividends from in-game revenue, provides play-to-earn opportunities to marginalized communities, expands consumer markets for businesses, and immerses players in a truly revolutionary experience.

The Market & Our Traction

Gravity Jack has developed premier custom software solutions for some of the world's most respected organizations, including: Mitsubishi, Toyota, NASA, Intel, Ford, Dell, Samsung, Lockheed Martin, the Department of Defense and more. Our portfolio spans across the commercial and defense industries and includes the reference project for the Meta Oculus Quest2 commissioned by Meta, source code that is now available globally and is used as the industry standard for developers creating applications on the Meta Oculus2 platform.

Gravity Jack is one of many prosperous endeavors started by Luke and Jennifer Richey. After multiple successful startups and exits, Luke and Jennifer Richey founded Gravity Jack on the then-infant technology of augmented reality (AR). Founded in 2009 as one of the first American-based agencies to offer AR as a service, Gravity Jack began dedicating time and resources to research AR and develop new use cases beyond what was publicly available. This has resulted in the issuing of six key patents involving AR and geolocation technology.

As veterans of the AR, VR, and computer vision industry, we believe we have well-established relationships with some of the world’s most influential innovators, a strong patent portfolio and project history, as well as proven experience in a field that many are just beginning to notice.

WarTribe of Binyamin is currently in the early stages of development, but the vision for the game was born in 2009 along with Gravity Jack, while we patiently waited for global technology to ubiquitously grow and pave the way for such an ambitious experience.

We have always believed that augmented reality could change the world, and we believe WarTribe of Binyamin algorithmically functions to be a win-win-win system.

Where can I find more details about the gameplay? For example, what are the game mechanics, example quests, solo vs group play, pvp, loot, etc. I did some searching but I couldn’t actually find any details about how you actually play the game? Looking forward to checking it out. Thanks!

1. I saw from your offering memo that you are an S-Corp. If I invest will I receive an 1120-S sch K-1 each year? 2. Your financials include loans payable to Land Rover and Jagaur. My impression is those vehicles are a bit luxurious for a start-up. Also G&A expenses are increasing. How do I know you will spend investor money wisely?

It's possible to invest in chunks all the way to 12/12, correct? Or must it be a one-time, lump sum?

You recount an impressive list of past projects with long established Fortune 500 firms. Do you have a portfolio of ongoing projects other than the game? It appears that all emphasis has pivoted to the game. I'm undoubtedly misreading your materials, but I'm not seeing any emphasis on ongoing projects with industry, cultivating new projects by marketing capabilities, providing proposals and ultimately crafting solutions in addition to producing the game. Will you continue an emphasis on the legacy business segment in addition to growing your gaming segment as you roll-out the game?

1) What are your current revenue streams, and what are your revenue projections for 2023 and going forward? 2) Can you talk about why net income swung from a positive $757K to a negative $59K? 3) What's the timeline for development of "War Tribe of Binyamin" and when do you estimate it will be available for purchase? 4) How will the game generate revenue (e.g, will it be free-to-play and make money from the sale of in-game items)? 5) Per the Form C, there appears to be significant indebtedness related car dealerships. Assuming those are for company cars, can you explain how those vehicles are used by the business? 6) What's the exit strategy?

FAQS
Crowdfunding

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
