Voting Proxy. The 10% Bonus for StartEngine Shareholders
SaniCash, Inc. will offer 10% additional bonus shares for all investments that are committed by investors that are eligible for the StartEngine Crowdfunding Inc. OWNer's bonus.
This means eligible StartEngine shareholders will receive a 10% bonus for any shares they purchase in this offering. For example, if you buy 100 shares of Common Stock at $10.00 / share, you will receive 110 shares of Common Stock , meaning you'll own 110 shares for $1000.00. Fractional shares will not be distributed and share bonuses will be determined by rounding down to the nearest whole share.
This 10% Bonus is only valid during the investors eligibility period. Investors eligible for this bonus will also have priority if they are on a waitlist to invest and the company surpasses its maximum funding goal. LumixUV StartEngine Update 6/16/2022
CleanCash Investors,
It has been some time since our last update so we wanted to take a moment to share our progress.
First off, we have exciting news. CleanCash’s original goals were primarily focused around disinfecting cash and point-of-sale systems. Since our initial campaign, we have decided that our patent-pending technology is best suited for many high-touch applications in public spaces (think POS systems, ATMs, airport check-in kiosks, etc - see product demo videos: https://www.youtube.com/watch?v=xiG88Spb3p8, https://www.youtube.com/watch?v=xNCIEc1gpB4&t=22s). To reflect this pivot, we have rebranded the company as lumixUV to better reflect these goals.
We have also seen the potential for utilizing our technology in other markets such as consumer-facing disinfection products. In fact, we are excited to announce that our first disinfection product is set to be released on Amazon in the coming weeks!
lumixUV Personal Air Sanitizer:
Our first product to hit the market will be the lumixUV personal air sanitizer. Our cutting edge technology uses UV-C light rather than air filters which are found in most other air purifiers. Our UV-C LED technology is capable of killing viruses, bacteria, and mold in addition to removing foul odors. lumixUV is designed to be as eco-friendly as possible - unlike some competitors who rely on the use of mercury-vapor bulbs, which need to be replaced and are later sent to landfills and are very bad for the environment. The lumixUV personal air sanitizer is connected to the lumixUV app on your phone allowing you to control the air speed, light level, and see the measured air quality in your space. This compact device can be used in a kitchen, a pet’s room, an office setting, driving down the road - the possibilities are endless!
In other exciting news, this past January, lumixUV exhibited at the Consumer Electronics Show (CES) in Las Vegas. If you are not familiar with CES, it is the largest and most influential trade show in the world introducing the newest and hottest tech products before they hit the market. In 2019 alone, CES brought in 182,000 attendees and more than 4,400 exhibits. We took lumixUV to CES and the feedback we received from other startups, investors and the general public was overwhelmingly positive. We are now in discussions with multiple major corporations to potentially add lumixUV disinfection technology to devices such as airport check-in terminals and other high-touch devices in public spaces. CleanCash adds payments industry veteran as new Vice President of Business Development
CleanCash is proud to welcome Michael La Cross as Vice President of Business Development. Michael will be leading CleanCash’s business development efforts to form partnerships with major brands and retailers. Some of Michaels’ early areas of focus are existing point-of-sale systems providers as well as large hotel chains, as Michael has a great deal of experience and many connections in these verticals.
Michael has spent his entire 28-year career in the payments industry, first joining Southern Datacomm as one of their first employees and VP of Business Development. Michael helped lead the company to a successful acquisition to US Bank, one of the largest payment processors in the world. Michael spent the next 13 years with US Bank as VP of Partner Development before joining the CleanCash team.

CleanCash files new patent for groundbreaking credit card terminal disinfection tech
As we have noted previously, credit card terminals are touched by potentially hundreds of dirty hands per day. CleanCash has now developed our most innovative product yet, a credit card terminal disinfection system that simply attaches to the customer’s existing point-of-sale terminal. We have also filed an additional patent on this groundbreaking technology. The system sanitizes the credit card terminal after each customer, making these transactions safe from the transmission of harmful germs, bacteria, and viruses. Due to the simplified nature of this new development, the cost of implementing CleanCash’s UVC disinfection technology will now be dramatically reduced.

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.
With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.
At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.
Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.
StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.
For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.
For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.
Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.
Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.
Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
