Overview

Unleashing Imaginative Gameplay with Tabletop Accessories

As a new generation of players fuels the explosion in popularity for TTRPGs, we provide them with the tools to play at a whole new level. Our collection of products such as our books, journals, and miniatures provide a vivid, exciting, and accessible gaming experience. Most recently, we successfully launched our Video Cassette Dice, our line of nostalgic dice based on classic '80s-themed video cassettes which now accounts for 15% of our total sales in 2022. With over 50 SKUs available online and in over 100 stores across the world, we are now ready to grow more than ever.

The Problem & Our solution

Filling the Gaps

The TTRPG space has grown rapidly in the past decade. New games, rulesets, and expansions hit the market every year, keeping the community entertained and expanding.

What these major companies fail to do is create the tools and accessories needed to make these TTRPGs run smoothly. This limits players in their ability to run certain types of games or even play the base game effectively. Our products bring both functionality and freedom to help gamers expand their vision and imagination.

We have taken it upon ourselves to build out tools that we, as players, so desperately want. Tools such as our Dungeon Craft series, which allows players to build out immersive and interactive battle maps, or our Dungeon Notes line which lets players keep track of their character and the world around them.

Games like Dungeons & Dragons or Pathfinder provide you with the rules and a system to play the game. At 1985 Games, we aim to give you the tricks and tools to make the game more entertaining and easier to play. That’s why nearly all of our products are system agnostic, meaning they can be easily used with any game system. Additionally, we’ve diversified our product lines to support a wider audience within the community.

If you play a TTRPG, we've made it very hard for you not to be interested in at least one of our products.

the market & Our Traction

Proven Customer Enthusiasm in a Fast-Growing Market

The tabletop gaming industry has experienced a major boom in popularity over the last 8 years, with the release of Dungeons and Dragons 5th Edition. The demographic for these games has experienced a major shift, trending from its older audience down to the current majority of 18-35 year old players, and we are here to capture their imagination and elevate their gameplay.

The rate at which new players are joining the community is extraordinary. This massive growth can be attributed to many factors, but most would claim that it is the popularity of shows like Stranger Things or the Critical Role Twitch stream and subsequent television series that have brought on this major change.

Source

With this market shift, leading companies such as Hasbro (parent company of Wizards of the Coast, and owners of Dungeons & Dragons) are pushing full force in the growth of the industry, and it is plain to see that it's working. Wizards of the Coast booked $952 million in tabletop game sales in 2021, powering the company to over $1 billion in total sales for the first time ever. As impressive as this is, this is just one of the many companies growing the tabletop market and we plan to grow with it.

Recently, we have achieved the following milestones:

  • In 2022, we developed strategic collaborations with other premium brands within the TTRPG space, such as Hit Point Press, Norse Foundry, Zealot Miniatures, and Hunters Entertainment.
  • We grew from 14 retail locations in 2021 to over 100 in 2022 in just half a year, with no signs of slowing down.
  • We launched and grew our brand ambassador program to include over 70 ambassadors in less than 6 months!
  • Featured on the incredibly popular Critical Role twitch stream, as well as Critical Role’s Talks Machina. Additionally, we’ve been featured in articles from Nerdist, Games Geek News, and more.

A Relatable eCommerce Tabletop Brand with Expanding Distribution and a Strategic Business-to-Business Wing

We continue to experience high growth thanks to our community-driven marketing plan. Our collaboration with content creators, ambassadors, and other brands has allowed us to expand our audience on regular bases, which in return has seen a large growth in eCommerce sales through our website and Amazon.com.

Our shift in retail strategy in early 2022 has seen our number of retail locations grow by more than 6x in the last year. Accompanied by the addition of new distributors and dedicated sales members we see wholesale becoming an integral part of our business model in the very near future.

Collaboration between us and other brands in the tabletop space has been incredibly lucrative. This branch of our business allows us to tap into new audiences through design, creation and manufacturing for other companies.

We are not only a gaming company but, also an authentic and engaging social media brand. Our multi-faceted marketing strategy uses digital media platforms to engage our community through useful or comedic content.

Why Invest

Join the Renaissance of Tabletop Gaming

1985 Games is poised for major growth in the next few years. As we expand, we plan to double the number of trade shows we attend each year and continue the development of our B2B sales through projected development and the creation for other companies. Finally, we plan to grow our team and our marketing budget to reach the millions of tabletop gamers and the 8,000+ retail stores we see as potential clients – eventually expanding beyond that and into large chain stores.

Join us as we bring a better gaming experience to TTRPG players everywhere.

TEAM

Lenny Gotter
Lenny Gotter
President, CEO, and Director

Lenny Gotter founded 1985 Games in 2019. Under his leadership as CEO, the company has consistently executed a series of successful product launches on Kickstarter as well as building a fulfillment and distribution network in the US and abroad. An avid gamer since 1985 he loves to run and play role playing games as time permits. When he saw Jeremiah Crofton’s ideas for Dungeon Craft he immediately saw the opportunity. Lenny has spent his life identifying opportunities ahead of the curve. As a trailblazing entrepreneur, Lenny founded Eastside Distilling Inc. in 2008. He served as the CEO up until June 2014 and then board member until 2016. During his time there, Eastside Distilling grew every year and in 2013 achieved $830K in sales and profitability. At that point he secured $2 million in investment as part of a reverse merger, which would eventually lead the company to being listed on NASDAQ in 2017 under the symbol, EAST. Additionally, Lenny operates his own private consulting firm where he advises clients on building a successful business in the spirits or related industries. He brokers sales of companies and scouts acquisitions for major brands. He brings extensive experience in marketing and sales, product development, and strategic thinking to all of his clients. In 2020 he advised Skunk Brothers Spirits on a successful $1 million dollar Start Engine fundraise.

Jeremiah Crofton
Jeremiah Crofton
Creative Director, Secretary, and Director

Jeremiah Crofton is the heart of 1985 Games. As the Creative Director and Product Leader, Jeremiah believes a good product starts with recognizing gaps in the market and crafting great products to fit in those gaps. He feels that his work is not complete until the community is happy with 1985 Games products. He focuses his time on designing new releases for the company and truly enjoys the craft of it. It is important to him that even the smallest products receive the right amount of time in development. This means that extensive time and energy are put into every step of a product’s design. His goal is to make certain that 1985 Games’ customers and community feel like each product is worth having. Jeremiah brings his extensive experience in the tabletop industry from over half a decade working in the gaming space at trade shows and his time spent working with game stores directly at Dark Horse Comics.

Brittani-Pearl Eaton-Koch

Brittani-Pearl Eaton-Koch

Advisor

Brittani-Pearl Eaton-Koch first discovered the joys of tabletop gaming in the fourth grade, when her uncle went off to college and made the mistake of storing his Magic: The Gathering cards, Dungeons & Dragons books, and Star Trek goodies in her closet. Depending on who you ask, it was either all downhill or uphill from there. As Secretary of her school’s Dungeons & Dragons club and a three-year varsity cheerleader, Brittani-Pearl has long combined her love of geek culture with her talent for spreading the word and building hype. Her time in academia left her with a B.S in B.S. (and Chemistry) and a Masters in Cell & Molecular Biology. Luckily for the world at large, she turned away from this obvious supervillain origin story and put her extensive research skills to work in the gaming industry.

After escaping academia, he has advised a variety of firms and academic labs in bio-tech, healthcare, and educational services. After spending decades as a dedicated game player, actually working with the games industry was a refreshing change of pace. He founded Other Stuff Games (OSG) as a Public Benefit Corporation dedicated to working with independent designers, artists, creators, and publishers to develop sustainable business models and the strategy and planning to grow and develop these businesses. His team at OSG works with clients ranging from pre-revenue creators with just a dream in their pocket to established artists and creators to industry leading publishers.

It looks like the link in the latest update won't let you register for the June 27th webinar, it takes you to sign up for the June 20th webinar instead. I don't see a way to comment on the updates themselves, so I commented here, hope that's alright.

2022 Revenue was just under $900k (down from $1.54m in '21), how is it tracking for 2023? COGS improved in 2022, was that the result of a different product mix, more efficiency in bringing product to market or something else? Do you think it's repeatable? Lastly, this is subjective, but the valuation seems a bit high, 10.25x 2021 revenue and 17.5x 2022. While not a perfect comparison by any means, Hasbro has a valuation of around 1.42x revenue. Assuming that is a decent multiple for this type of company (and public companies often have a higher multiple than private ones in the same space), sales would have to be a bit over $11m. That would be a lot of blockbuster Kickstarter campaigns... I realize you've probably agonized far more than me over that number and I did see the section in the filing regarding this. You absolutely have some assets with value there, just not sure it's that much.

Are you cash-flow break-even now? If not, what does the path look like to get to break-even and what does the runway look like? In other words, can you get to break-even before you run out of money, or will that depend on how much you raise, and, if so, how much do you need to raise in order to establish sufficient runway to break-even? Thanks.

your net revenue last year was $80,000. do you have a projection for 2023? seeing as you valuation is 15 million at 60x net that's more like 5 million valuation. Where is the 15 million valuation coming from?

DIVERSE INVESTMENTS

Invest in over 200 start-ups and collectibles!

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000, are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, he/she is limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market, or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancelation period. Once the four-hour window has passed, it is up to each company to set their own cancelation policy. You may find the company’s cancelation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to get sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. To learn more about Regulation Crowdfunding, click here, and for Regulation A+, click here.

SE BB is distinct and separate from StartEngine Secondary (“SE Secondary”), which is an SEC-registered Alternative Trading System (ATS) operated by SE Primary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. While a security may be displayed on the bulletin board, these securities will be subject to certain restrictions which may prevent the ability to buy and sell these securities in a timely manner, if at all. Even if a security is qualified to be displayed on the bulletin board, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
